GROUP STRATEGIC REPORT
FOR THE YEAR ENDED 31 AUGUST 2024
The director presents his strategic report of the company and the group for the year ended 31 August 2024.
PRINCIPAL ACTIVITY
Inspired Learning Group (London) Limited is the ultimate holding company of the following companies:
Collingwood School Limited
Gidea Park College Limited
The Orchard Kew Day Nursery Limited
Walton Montessori Limited
Warlingham Park School Limited
WPPS London Limited (Dissolved on 15 April 2025)
The principal activity of the group during the period under review was the provision of educational services through pre-primary, pre-preparatory and preparatory schooling.
REVIEW OF BUSINESS
The family of independent schools and nurseries deliver a rich education, combining passion and innovation to develop and inspire children in a nurturing environment for a vibrant future. We have invested in teachers, IT and infrastructure to create a forward-thinking environment that puts the pupils front and centre in small classes.
Our aim and ethos are to deliver inspired learning, designed to nurture each and every child's talent and help them achieve their full potential. All our preparatory schools are single form entry with capped class sizes of no more than 16 to ensure they are the destination of choice for families who seek engaging, co-educational and friendly learning environments with a holistic approach for every single child.
The Group continues to develop its management capability. All our schools and Nurseries are awarded good or above by Ofsted and ISI.
The Group achieved a 19% increase in revenue during the year, while maintaining relatively stable gross margins and exercising tight control over administrative costs, resulting in a £57,006 increase in profit before tax to £394,346 for the year. During the year, the net assets of the group increased by £922,414 to £5,262,685 at the year end.
After the year end, the Group's freehold and leasehold properties were valued at £16,740,000 on an open market basis, with certain properties valued by the Director and others by Anderson Wilde & Harris, a firm of chartered surveyors. The valuations have not been reflected in these financial statements as they relate to conditions arising after the reporting date.
With effect from 1 January 2025, all education, boarding and vocational training provided for a charge by private schools in the UK became subject to VAT at the standard rate, including pre-payments made on or after 29 July 2024 for terms starting on or after 1 January 2025. Although the schools are able to reclaim VAT on some of their costs, recovery is restricted, and not all of the additional cost can be absorbed or offset. This places the Group's schools in a less favourable financial position, along with other schools in the country. In response, the Group is focusing on tighter cost control, greater operational efficiency, the realisation of synergies across its schools and the diversification of its income streams to limit the impact on fees.

GROUP STRATEGIC REPORT
FOR THE YEAR ENDED 31 AUGUST 2024
PRINCIPAL RISKS AND UNCERTAINTIES
The group's operations expose it to a range of financial and commercial risks. The principal risk facing the business is the continued enrolment of new students. The group manages its exposure to this risk by investing and allocating more resources to communications and customer relationships.

The group is exposed to interest rate risk. This is managed through regular review of the cash flow and trading results.
The group is exposed to regulatory risk. This is managed and monitored by a dedicated team to ensure continued compliance.
FINANCING AND LIQUIDITY RISK

DIRECTOR
STATEMENT OF DIRECTOR'S RESPONSIBILITIES
The director is responsible for preparing the Group Strategic Report, the Report of the Director and the financial statements in accordance with applicable law and regulations.
Company law requires the director to prepare financial statements for each financial year. Under that law the director has elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the director must not approve the financial statements unless he is satisfied that they give a true and fair view of the state of affairs of the company and the group and of the profit or loss of the group for that period. In preparing these financial statements, the director is required to:
| - | select suitable accounting policies and then apply them consistently; |
| - | make judgements and accounting estimates that are reasonable and prudent; |
| - | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business. |
The director is responsible for keeping adequate accounting records that are sufficient to show and explain the company's and the group's transactions and disclose with reasonable accuracy at any time the financial position of the company and the group and enable him to ensure that the financial statements comply with the Companies Act 2006. He is also responsible for safeguarding the assets of the company and the group and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS
So far as the director is aware, there is no relevant audit information (as defined by Section 418 of the Companies Act 2006) of which the group's auditors are unaware, and he has taken all the steps that he ought to have taken as a director in order to make himself aware of any relevant audit information and to establish that the group's auditors are aware of that information.
AUDITORS
The auditors, Innovi Advisors Ltd, will be proposed for re-appointment at the forthcoming Annual General Meeting.
ON BEHALF OF THE BOARD:
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
INSPIRED LEARNING GROUP (LONDON) LTD
Opinion
We have audited the financial statements of Inspired Learning Group (London) Ltd (the 'parent company') and its subsidiaries (the 'group') for the year ended 31 August 2024 which comprise the Consolidated Income Statement, Consolidated Other Comprehensive Income, Consolidated Statement of Financial Position, Company Statement of Financial Position, Consolidated Statement of Changes in Equity, Company Statement of Changes in Equity, Consolidated Statement of Cash Flows and Notes to the Consolidated Statement of Cash Flows, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
| - | give a true and fair view of the state of the group's and of the parent company affairs as at 31 August 2024 and of the group's profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the director's use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the group's and the parent company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the director with respect to going concern are described in the relevant sections of this report.
Other information
The director is responsible for the other information. The other information comprises the information in the Group Strategic Report and the Report of the Director, but does not include the financial statements and our Report of the Auditors thereon.
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon.
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.
Opinions on other matters prescribed by the Companies Act 2006
In our opinion, based on the work undertaken in the course of the audit:
| - | the information given in the Group Strategic Report and the Report of the Director for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
| - | the Group Strategic Report and the Report of the Director have been prepared in accordance with applicable legal requirements. |
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
INSPIRED LEARNING GROUP (LONDON) LTD
Matters on which we are required to report by exception
In the light of the knowledge and understanding of the group and the parent company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Report of the Director.
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion:
| - | adequate accounting records have not been kept by the parent company, or returns adequate for our audit have not been received from branches not visited by us; or |
| - | the parent company financial statements are not in agreement with the accounting records and returns; or |
| - | certain disclosures of director's remuneration specified by law are not made; or |
| - | we have not received all the information and explanations we require for our audit. |
Responsibilities of director
As explained more fully in the Statement of Director's Responsibilities set out on page five, the director is responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the director determines necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the director is responsible for assessing the group's and the parent company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the director either intends to liquidate the group or the parent company or to cease operations, or has no realistic alternative but to do so.
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
INSPIRED LEARNING GROUP (LONDON) LTD
Auditors' responsibilities for the audit of the financial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The key laws and regulations we have considered in this context included the Companies Act 2006, pension and tax legislation. In addition, we have considered provisions of other laws and regulations that do not have a direct effect on the financial statements but compliance with which may be fundamental to the company's ability to operate or to avoid a material penalty. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
- Using our general commercial and sector experience and through discussions with the directors and management, we identified areas of laws and regulations that could reasonably be expected to have a material effect on the financial statements as well as those arising from management's own assessment of the risks that irregularities may occur either as a result of fraud or error.
- We examined the company's regulatory and legal correspondence and discussed with the directors and management any known or suspected instances of fraud or non-compliance with laws and regulations.
- We communicated identified laws and regulations and potential fraud risks to all engagement team members and
remained alert to any indications of fraud or non-compliance with laws and regulations throughout the audit.
- In addressing the risk of management override of controls, we tested the appropriateness of journal entries. We also challenged assumptions and judgements made by management in their significant accounting estimates and judgements.
There are inherent limitations in the audit procedures described above and the further removed non-compliance with
laws and regulations is from the events and transactions reflected in the financial statements, the less likely we would become aware of it.
Also, the risk of not detecting a material misstatement due to fraud is higher than the risk of not detecting one from error, as fraud may involve deliberate concealment by, for example, forgery or intentional misrepresentation, or through collusion.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors.
REPORT OF THE INDEPENDENT AUDITORS TO THE MEMBERS OF
INSPIRED LEARNING GROUP (LONDON) LTD
Use of our report
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed.

NOTES TO THE CONSOLIDATED FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 AUGUST 2024
| 1. | STATUTORY INFORMATION |
Inspired Learning Group (London) Limited is a private company, limited by shares, registered in England and Wales. The company's registered number and registered office address can be found on the Company Information page.
The presentation currency of the financial statements is Pound Sterling (£) rounded to the nearest Pound.
| 2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements
BUSINESS COMBINATIONS
Business combinations are accounted for using the purchase method in accordance with Section 19 of FRS 102. The cost of a business combination is the fair value, at the date of exchange, of assets given, liabilities incurred or assumed and equity instruments issued, plus costs directly attributable to the combination. Where consideration is contingent on future events, an estimate is included in the cost of the combination at the acquisition date if payment is probable and the amount can be measured reliably. Subsequent revisions to that estimate are adjusted against the cost of the combination and goodwill.
On acquisition, the identifiable assets, liabilities and contingent liabilities of the acquiree are recognised at their fair values at the acquisition date. Contingent liabilities are recognised only where their fair value can be measured reliably. Non-controlling interests are measured at their proportionate share of the fair value of the acquiree's net identifiable assets.
Basis of consolidation
The group financial statements consolidate the financial statements of Inspired Learning Group (London) Limited, and its subsidiary undertakings made up to 31 August each year. Intra-group transactions, balances and unrealised gains are eliminated in full on consolidation.
Investments in subsidiary
Investments in subsidiary undertakings are recognised at cost.
Related party exemption
The company has taken advantage of exemption, under the terms of Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland', not to disclose related party transactions with wholly owned subsidiaries within the group.
Transactions between group entities which have been eliminated on consolidation are not disclosed within the financial statements.
Turnover
Turnover is measured at the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes.
Intangible assets
Intangible assets are initially measured at cost. After initial recognition, intangible assets are measured at cost
less any accumulated amortisation and any accumulated impairment losses.
Development costs are being amortised evenly over their estimated useful life of ten years.
Computer software is being amortised evenly over its estimated useful life of ten years.

NOTES TO THE CONSOLIDATED FINANCIAL STATEMENTS - continued
FOR THE YEAR ENDED 31 AUGUST 2024
| 2. | ACCOUNTING POLICIES - continued |
Goodwill
Goodwill is the excess of the cost of a business combination over the group's interest in the net fair value of the identifiable assets, liabilities and contingent liabilities acquired. It is capitalised as an intangible asset and carried at cost less accumulated amortisation and accumulated impairment losses.
Goodwill is amortised on a straight-line basis over its estimated useful life of 10 years. Amortisation is charged to administrative expenses. Where the useful life cannot be estimated reliably, it does not exceed 10 years. Goodwill is reviewed for impairment when there is an indication that its carrying amount may not be recoverable, and any impairment loss is recognised immediately in the profit and loss account.
Negative goodwill
Negative goodwill arises where the price paid is less than the fair value of the net assets acquired. It is amortised, and the credit is taken to the profit and loss account over the periods expected to benefit.
Tangible fixed assets
Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.
| Freehold land | - not depreciated |
| Freehold buildings | - 1% on cost |
| Leasehold property | - over the shorter of the asset's useful life or the remaining lease term. |
| Plant and machinery | - 10% on reducing balance |
| Fixtures and fittings | - 10% on reducing balance |
| Computer equipment | - 20% on reducing balance |
Land and buildings are stated at fair value less subsequent depreciation and impairment. Revaluations occur regularly enough to prevent material divergence from fair value at the reporting date.
At each statement of financial position date, the company reviews the carrying amount of its tangible fixed assets to determine whether there is any indication that any items have suffered an impairment loss. If any such indication exists, the recoverable amount of an asset is estimated in order to determine the extent of the impairment loss, if any.
Where it is not possible to estimate the recoverable amount of the asset, the company estimates the recoverable amount of the cash-generating unit to which the asset belongs.
Stocks
Finished goods are stated at the lower of cost and estimated selling price less costs to sell.
Financial instruments
Financial assets and financial liabilities are recognised when a group company becomes a party to the contractual provisions of the instrument, and are classified according to the substance of the contractual arrangements entered into.
Debt instruments are measured initially at transaction price and subsequently at amortised cost using the effective interest method. Where an arrangement constitutes a financing transaction, because it is interest-free or is financed at a rate that is not a market rate, the instrument is measured initially at the present value of the future cash flows discounted at a market rate of interest for a similar debt instrument.
Convertible loan notes are compound financial instruments. On issue the proceeds are allocated between a liability component and an equity component. The liability component is measured at the present value of the amounts repayable, discounted at a market rate of interest for comparable debt carrying no conversion rights, and is subsequently measured at amortised cost, the difference being charged to profit or loss as a finance cost over the term of the notes. The equity component is the residual amount and is not subsequently remeasured.

NOTES TO THE CONSOLIDATED FINANCIAL STATEMENTS - continued
FOR THE YEAR ENDED 31 AUGUST 2024
| 2. | ACCOUNTING POLICIES - continued |
Taxation
Taxation for the year comprises current and deferred tax. Tax is recognised in the Consolidated Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity.
Current or deferred taxation assets and liabilities are not discounted.
Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the statement of financial position date.
Deferred tax
Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the statement of financial position date.
Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference.
Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits.
Hire purchase and leasing commitments
Rentals paid under operating leases are charged to profit or loss on a straight line basis over the period of the lease.
Pension costs and other post-retirement benefits
The group operates a defined contribution pension scheme. Contributions payable to the group's pension scheme are charged to profit or loss in the period to which they relate.

NOTES TO THE CONSOLIDATED FINANCIAL STATEMENTS - continued
FOR THE YEAR ENDED 31 AUGUST 2024
| 2. | ACCOUNTING POLICIES - continued |
Going concern
The Group's principal activities are carried out through its subsidiaries, Collingwood School Limited, Gidea Park College Limited, The Orchard Kew Day Nursery Limited, Walton Montessori Limited and Warlingham Park School Limited. The parent company has no trading activity of its own and its income comprises dividends receivable from its subsidiary undertakings, which amounted to £700,000 in the year. The company is one of the two Borrowers under the facility described in notes 25 and 27.
At 31 August 2024, the Group had aggregate net current liabilities of £1,502,688. Companies within the group with aggregate net current liabilities: Inspired Learning Group (London) Limited: £3,687,802 and The Orchard Kew Day Nursery Limited: £335,114. The Group had aggregate net assets of £5,262,685 and aggregate cash at bank of £577,130.
At 31 August 2024 borrowings of £5,350,936 from Punjab National Bank (International) Limited were recognised in these financial statements and fell due for repayment within one year. The reclassification of those borrowings to amounts falling due within one year is the principal reason for the net current liability position of £3,687,802 at that date for the parent company. On 14 November 2024 the bank extended the maturity date to 30 April 2025 to allow time for refinancing.
On 31 March 2025 the borrowings were refinanced through a term loan facility of up to £18,570,000 provided by State Bank of India (UK) Limited. The Parent company of the group is one of two borrowers, and all the subsidiaries of the group are part of the twelve obligors giving joint and several guarantees under that facility. Interest only is payable during the term and the whole of the principal falls due on 31 March 2030. The company's drawings under the facility were £14,570,000 at the date of approval of these financial statements.
From 1 January 2025, education and boarding services provided by private schools became subject to VAT at the standard rate of 20%, including fees paid on or after 29 July 2024 for terms starting on or after 1 January 2025. The director's forecasts take account of the effect of VAT on fee levels, pupil numbers and VAT recovery on costs, and trading since the year end has been in line with those forecasts.
The director has prepared cash flow and profit and loss forecasts covering at least twelve months from the date these financial statements are authorised for issue. Those forecasts take account of the terms of the State Bank of India facility, under which no principal is repayable before 31 March 2030, the continued receipt of dividends from subsidiary undertakings, and the intercompany debt position. After making appropriate enquiries and having regard to the support available within the group, the director has a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future and has therefore prepared the financial statements on a going concern basis.
Critical accounting judgements and key sources of estimation uncertainty
Convertible loan notes: the split between the liability and equity components uses a discount rate of 10% a year, being the director's estimate of the market rate for comparable debt without conversion rights.
Recoverability of related party balances: amounts of £5,290,815 owed by entities under common control are unsecured, interest-free and have no fixed repayment date. The director has assessed them as recoverable having regard to the financial position and forecasts of those entities.
Deferred tax: deferred tax is measured at 25%, the rate expected to apply when timing differences reverse.

FOR THE YEAR ENDED 31 AUGUST 2024
| 9. | PRIOR YEAR ADJUSTMENT |
Inspired Learning Group (London) Limited
During the year it was identified that Inspired Learning Group (London) Limited's long leasehold interest in the property at 57-59 Kew Bridge Road, Brentford had been recorded within fixed asset investments since its acquisition in the year ended 31 August 2020, rather than within tangible fixed assets. No amortisation had been charged on the interest. The comparative figures have been restated to reclassify the interest to tangible fixed assets and to recognise the amortisation that should have been charged in prior periods. The effect on the reported result for the year ended 31 August 2023 is a reduction in profit of £1,761, being amortisation for that year. Amortisation of £4,991 relating to periods before 1 September 2022 has been charged against reserves brought forward.
The Orchard Kew Day Nursery Limited
During the year it was identified that the leasehold improvements of The Orchard Kew Day Nursery Limited had been carried at a revalued amount since the year ended 31 August 2020. The underlying lease is held by Inspired Learning Group (London) Limited, so the revaluation should not have been recognised by The Orchard Kew Day Nursery Limited. The revaluation of £682,369 has been reversed, together with depreciation of £2,471 charged on the revalued amount and the related deferred tax provision of £150,000.
The deferred tax provision comprised £129,650 recognised on the revaluation and charged to the revaluation reserve, less £15,650 subsequently released to the profit and loss account, plus £36,000 charged to the profit and loss account in the year ended 31 August 2023 following the increase in the corporation tax rate.
The effect on the reported result for the year ended 31 August 2023 is an increase in profit of £36,824, being deferred tax of £36,000 and depreciation of £824. At 1 September 2022, retained earnings are reduced by £14,003 (the £15,650 release less depreciation of £1,647) and the revaluation reserve by £552,719.
