For the year ending 30 June 2026 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies' regime and in accordance with the provisions of FRS 102 Section 1A - Small Entities. The profit and loss account has not been delivered to the Registrar of Companies.

Compliance with accounting standards
The financial statements have been prepared in accordance with FRS 102 "The Financial Reporting Standard applicable in the UK and Republic of Ireland", Section 1A Small Entities, and the Companies Act 2006 as applicable to companies subject to the small companies regime. The financial statements are presented in pounds sterling.
The principal accounting policies adopted in the preparation of the financial statements are set out below and have remained unchanged from the previous year, and also have been consistently applied within the same accounts.
The financial statements have been prepared under the historical cost convention.
Group accounts. The company is a parent company. It has taken advantage of the exemption in section 399(2A) of the Companies Act 2006 from the requirement to prepare group accounts, as it heads a small group. These financial statements present information about the company as an individual undertaking.
The accounts are presented in £ sterling.
Investments in subsidiary undertakings are measured at cost less any accumulated impairment losses. The carrying amount is reviewed at each reporting date for indicators of impairment.
The company’s 1,000 ordinary shares of £100 were issued on 3 June 2019 at £333.33 per share. The premium of £233.33 per share (£233,333 in total) is held in the share premium account.

Class of shares held: ordinary shares of £0.001 each. Proportion held: 100%. Capital and reserves at 30 June 2026: £333,333 (2025: £333,333). Result for the year ended 30 June 2026: £nil (2025: £nil).
The 2025 accounts described the subsidiary’s share capital as 3,333 shares of £100.01; the holding is, and was, 333,333,333 ordinary shares of £0.001 each. The cost and carrying amount of the investment are unchanged.
