Group Strategic Report
For the Year Ended 31 December 2024

Introduction

The directors present the Group Strategic Report for the period ended 31 December 2024.

Business review

The Group owns a variety of own brand, international retailers of luxury hair solutions, including human hair, styling tools and aftercare products across multiple jurisdictions, including the United Kingdom, Germany, Canada and Australia. The Group trades internationally across multiple channels including direct-to-salon, direct-to-consumer and distributors through the Group’s own web platform, sales representatives and phone orders.

The directors have reviewed the Group's business model, strategic priorities and principal risks for the year ended 31 December 2024 and consider these to have remained broadly consistent with the preceding year. Accordingly, the commentary below reflects the continued relevance of these matters, alongside the specific trading performance and developments during 2024.

The Group delivered turnover of £74.2m in the year ended 31 December 2024 (
2023: £77.8m) representing absolute decline of 5% on the prior year. The Group was impacted by rising interest rates and inflation which impacted consumer sentiment and purchasing habits including the extension of time between hair extension installations as noted by year-over-year decline in Rest of the World turnover of £4.5m. The Group’s robust business model has helped adapt to the continuing challenges with the direct-to-consumer, e-commerce channels underperforming and challenges related to product quality in the market. Despite these trading challenges and the reduction in revenue, adjusted EBITDA margin decreased from 7% to 6%, reflecting continued management of the cost base and reductions in variable expenses.

The Group recorded an operating loss of £0.4m in 2024, compared with £3.7m in 2023. The prior-year result included exceptional impairment charges of £4.1m, excluding which the Group recorded an operating profit of £0.4m. The underlying reduction in operating performance reflects the decline in revenue and continued pressure on operating costs..

Over the last two years, the Group has seen continued pressure on the price of raw materials worsened by the strengthening of the US Dollar. During 2024, the Group has seen some strengthening of the UK economy which has alleviated some of this pressure that the Group has experienced from FX volatility. Despite this, the Group has maintained a strong level of profitability with gross margin of 44%
(2023: 43%). The Group has continued to maximise its efficiency across its cost base by continually negotiating variable expenses throughout the period, with cost reductions seen across a number of key areas.

The Group has continued to invest in people in areas where the business is experiencing growth, further investing in key senior appointments during 2024 to ensure the Group is well placed to support its ambitious growth plans as part of the Group’s long-term strategy. During the year, the Group has continued to integrate further, implementing group wide operational practices, including processes and controls across all departments within the business.

2024 and 2025 saw investments in the group across its brands with the launch of new products, growth of sales team, key marketing partnerships and implementation of new technologies to help enable further growth through international and product expansion.

Subsequent to the year end, the German operations also experienced a significant decline in trading, giving rise to a potential impairment of the Company's investment, as detailed in note 30.

For the Year Ended 31 December 2024

Principal risks and uncertainties

Operational and compliance risks are constantly being monitored and procedures are being implemented to address issues as they arise.  The Group is committed to building organisational resilience with the capability of providing effective responses, as well as identifying risk-based opportunities.

Financial risks relating to currency exposure are closely monitored and mitigated where possible in line with the Group’s FX strategy.

Credit risk is constantly monitored and credit limits are under constant review.

Reputational and strategic risks have been reduced with the support of the Beauty Industry Group, to which the Company and its trading subsidiaries belong with emphasis being on increasing the variety of quality products and widening the Group's client base and market share.

The rising cost of air freight and materials, coupled with the uncertainty related to consumer sentiment, particularly human hair, coupled with rising inflation and interest rates have been the principal risks to the Group.

The Group is able to attract and retain high calibre employees and investment is made in the IT systems to ensure that they are able to continue to respond to the needs of the business and do not become obsolete.

For the Year Ended 31 December 2024

Directors' statement of compliance with duty to promote the success of the Group

The directors are collectively responsible under section 172 of the UK Companies Act to act in the way they consider, in good faith, would be most likely to promote the success of the Group for the benefit of its shareholders as a whole and to take into account wider stakeholder needs when doing so. In its considerations and decision-making processes the Board therefore has regard to certain key matters including, but not limited to, the long-term impact of the Group’s operations on local communities and the environment and the need to preserve the Group’s reputation for high standards of business conduct.

Our employees are key to the delivery of our services and therefore to the long-term success of the business. It is imperative to keep them actively engaged and motivated. Regular staff communication and engagement occurs through team meetings and training.

Our global customer base is served through our B2B and D2C channels across our portfolio of own-brands and retail destinations. Understanding our customers and how they like to purchase, discover new products, and be made aware of new trends and solutions is essential for developing our brands and ensuring they are relevant to the markets they operate in. We aim to enable a simplified customer journey, from product discovery to checkout and delivery, which supports our consistently strong repeat-purchase rates.

The Group partners with suppliers to ensure it can continue to address customers and consumers’ evolving demands. The Board is committed to fostering and developing supplier relationships in a way that empowers the brands we own and those which we work with to drive innovative solutions to consumer demands, while balancing the need to tackle societal and environmental issues.

The Group is continually reviewing its systems and procedures to reduce energy consumption and ensuring they are SECR compliant.

It is critical that shareholders have confidence in the management and operation of the business, and in its long-term strategic objectives. The main shareholders are represented on the board of directors.

This report was approved by the board and signed on its behalf.

Directors' responsibilities statement

The directors are responsible for preparing the Group Strategic Report, the Directors' Report and the consolidated financial statements in accordance with applicable law and regulations.

Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice), including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland'. Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the Company and the Group and of the profit or loss of the Group for that period.

In preparing these financial statements, the directors are required to:

∙select suitable accounting policies for the Group's financial statements and then apply them consistently;

∙make judgements and accounting estimates that are reasonable and prudent;

∙state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;

∙prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Group will continue in business.

The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the Company's transactions and disclose with reasonable accuracy at any time the financial position of the Company and the Group and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the Company and the Group and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Future developments

The Group expects market share to continue to increase across future periods as the Group continues to integrate with Beauty Industry Group (“BIG”), aligning on group-wide operational practices, including processes and control to enable further growth opportunities and initiatives. 2026 has seen challenges with the departure of key executive leaders in marketing, operations and information technology but the Group is focused on stabilizing the business by filling the key roles while executing on a strategy to expand product offerings in the European Union whilst delivering an improved customer experience.

Directors' Report (continued)
For the Year Ended 31 December 2024

Greenhouse gas emissions, energy consumption and energy efficiency action

The Group is required to make disclosures under the Streamlined Energy and Carbon Reporting (‘SECR’) requirements in line with the Companies Act 2006. The company has followed the 2019 HM Government Environmental Reporting Guidelines and have also used the GHG Reporting Protocol – Corporate Standard and have used the UK Government's Conversion Factors for Company Reporting.

The SECR disclosures below relate to the Group's UK operations and principally reflect the energy consumption and associated emissions of Ecotrade Europe Limited, the Group's UK trading subsidiary; Cleopatra UK Bidco Limited is a holding company with no material energy consumption and the Group's other subsidiaries do not operate in the UK.

UK Greenhouse gas emissions and energy use data for the period 1 January 2024 to 31 December 2024:

         2024  2023

Energy consumption used to calculate emission (kWh)   505,880 323,069 kWh
Total Gross Emissions in metric tonnes CO2e    102.94  66.13  tCO2e
Intensity Ratio Tonnes CO2e per UK headcount    0.96  0.70  tCO2e

In the year the total energy consumption equated to 505,880 kWh across the Group's UK operations which was made up of gas, electricity and fuel across the head office site, the company warehouse, and delivery vehicles.

The increase from 2023 noted above relates to the expansion of the sales representative’s presence on the road in light of the new trade strategy, this strategy allows for localised sales representatives to build on customer relations in a more efficient manner by forging better relationships via face-to-face interactions.

This is also attributed to the addition of a new warehouse in the UK, which was necessitated by a significant rise in UK sales and the corresponding need for expanded storage capacity. As sales volumes grew, the existing infrastructure could no longer accommodate the increased inventory, leading to the establishment of an additional facility. This expansion has naturally resulted in higher energy usage. Consequently, while the growth in sales reflects positive business momentum, it has also contributed to a proportional increase in energy consumption metrics.

The Group continues to review areas whereby energy efficiency can be improved such as increased video conferencing technology for staff meetings, to reduce the need for travel between sites.  In addition to these measures, we are actively assessing our warehouse space to identify opportunities for improved layout and storage efficiencies. By optimising how inventory is organised and utilising vertical space more effectively, we aim to reduce the energy required for operations such as lighting, heating, and material handling. These efforts not only help lower our energy consumption but also enhance overall operational productivity and sustainability.

Disclosure of information to auditors

Each of the persons who are directors at the time when this Directors' Report is approved has confirmed that:

∙so far as the director is aware, there is no relevant audit information of which the Company and the Group's auditors are unaware, and

∙the director has taken all the steps that ought to have been taken as a director in order to be aware of any relevant audit information and to establish that the Company and the Group's auditors are aware of that information.

For the Year Ended 31 December 2024

Post balance sheet events

Since the year end, the Group has experienced a number of significant post balance sheet events. During 2025, management commenced the wind-down and liquidation of the Zala brand. In December 2025, the wider Beauty Industry Group underwent a change of control and restructuring of its debt. During 2025, the £11.2m loan note previously held by a director was also waived/released. During 2025, the Group's German operations also experienced a significant decline in trading, giving rise to a potential impairment of the Company's investment.

These events occurred after 31 December 2024 and no adjustment has been made to the amounts recognised in these financial statements. Further details are set out in note 30.

Auditors

The auditors, Hurst Accountants Limited, will be proposed for reappointment in accordance with section 485 of the Companies Act 2006.

This report was approved by the board and signed on its behalf.

Opinion

We have audited the financial statements of Cleopatra UK Bidco Limited (the 'Parent Company') and its subsidiaries (the 'Group') for the year ended 31 December 2024, which comprise the Consolidated Statement of Comprehensive Income, the Consolidated Analysis of Net Debt, the Consolidated Balance Sheet, the Company Balance Sheet, the Consolidated Statement of Cash Flows, the Consolidated Statement of Changes in Equity, the Company Statement of Changes in Equity and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).

In our opinion the financial statements:

∙give a true and fair view of the state of the Group's and of the Parent Company's affairs as at 31 December 2024 and of the Group's loss for the year then ended;
∙have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
∙have been prepared in accordance with the requirements of the Companies Act 2006.

Basis for opinion

We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the Group in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Conclusions relating to going concern

In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.

Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the Group's or the Parent Company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.

Other information

The other information comprises the information included in the Annual Report other than the financial statements and our Auditors' Report thereon. The directors are responsible for the other information contained within the Annual Report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.

We have nothing to report in this regard.

In our opinion, based on the work undertaken in the course of the audit:

∙the information given in the Group Strategic Report and the Directors' Report for the financial year for which the financial statements are prepared is consistent with the financial statements; and

In the light of the knowledge and understanding of the Group and the Parent Company and its environment obtained in the course of the audit, we have not identified material misstatements in the Group Strategic Report or the Directors' Report.

We have nothing to report in respect of the following matters in relation to which the Companies Act 2006 requires us to report to you if, in our opinion:

∙adequate accounting records have not been kept by the Parent Company, or returns adequate for our audit have not been received from branches not visited by us; or
∙the Parent Company financial statements are not in agreement with the accounting records and returns; or
∙certain disclosures of directors' remuneration specified by law are not made; or
∙we have not received all the information and explanations we require for our audit.

Responsibilities of directors

Auditors' responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' Report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these Group financial statements.

Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:

Identifying and assessing potential risks related to irregularities

In identifying and assessing the risks of material misstatement in respect of irregularities, including fraud and non-compliance with laws and regulations, we considered the following:

∙The nature of the industry and sector in which the company operates; the control environment and business performance including key drivers for directors' remuneration, bonus levels and performance targets.
∙The outcome of enquiries of local management and parent company management, including whether management was aware of any instances of non-compliance with laws and regulations, and whether management had knowledge of any actual, suspected, or alleged fraud.
∙Supporting documentation relating to the company's policies and procedures for:
°Identifying, evaluating, and complying with laws and regulations.
°Detecting and responding to the risks of fraud.
∙The internal controls established to mitigate risks related to fraud or non-compliance with laws and regulations.
∙The outcome of discussions amongst the engagement team regarding how and where fraud might occur in the financial statements and any potential indicators of fraud.
∙The legal and regulatory framework in which the company operates, particularly those laws and regulations which have a direct effect on the financial statements, such as the Companies Act 2006, pensions and tax legislation, or which had a fundamental effect on the operations of the Company, including General Data Protection requirements and anti-bribery and corruption legislation.

Audit response to risk identified

Our procedures to respond to the risk identified included the following:

∙Reviewing the financial statements disclosures and testing to supporting documentation to assess compliance with the provisions of those relevant laws and regulations which have a direct effect on the financial statements.
∙Discussions with management, including consideration of known or suspected instances of non-compliance with laws and regulations and fraud.
∙Evaluation of management's controls designed to prevent and detect irregularities.
∙Enquiring of management about any actual and potential litigation and claims.
∙Performing analytical procedures to identify any unusual or unexpected relationships which may indicate risks of material misstatement due to fraud.

Independent Auditors' Report to the Members of Cleopatra UK Bidco Limited (continued)

We have also considered the risk of fraud through management override of controls by:

∙Testing the appropriateness of journal entries and other adjustments. We have used data analytics software to identify accounting transactions which may pose a heightened risk of material misstatement, whether due to fraud or error.
∙Challenging assumptions made by management in their significant accounting estimates, and assessing whether the judgements made in making accounting estimates are indicative of a potential bias; and
∙Evaluating the business rationale of any significant transactions that are unusual or outside the normal course of business.

We also communicated relevant identified laws and regulations and potential fraud risks to all engagement team members and remained alert to any indications of fraud or non-compliance with laws and regulations throughout the audit.

Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.

A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditors' Report.

General information

Cleopatra UK Bidco Limited is a Company limited by share capital and incorporated in England and Wales. The address of the registered office and principal place of business is Unit 13 Lawnhurst Trading Estate, Oakhurst Drive, Stockport, Cheshire, SK3 0XT.

The nature of the Company's operation and principal activity is that of a holding company.

The Consolidated Financial Statements of the Company as at and for the period ended 31 December 2024 comprise the Company and its subsidiaries (together referred to as the ''UK Group'').

The principal activity of the UK Group is the wholesale and retail of hair-related products.

2.Accounting policies

2.1

Basis of preparation of financial statements

The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006.

The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires Group management to exercise judgement in applying the Group's accounting policies (see note 3).

The Company has taken advantage of the exemption allowed under section 408 of the Companies Act 2006 and has not presented its own Statement of Comprehensive Income in these financial statements.

The following principal accounting policies have been applied:

2.2

Basis of consolidation

The consolidated financial statements present the results of the Company and its own subsidiaries ("the Group") as if they form a single entity. Intercompany transactions and balances between group companies are therefore eliminated in full.

Where subsidiaries are acquired by the company, the consolidated financial statements incorporate the results of business combinations using the purchase method. In the Balance Sheet, the acquiree's identifiable assets, liabilities and contingent liabilities are initially recognised at their fair values at the acquisition date. The results of acquired operations are included in the Consolidated Statement of Comprehensive Income from the date on which control is obtained. They are deconsolidated from the date control ceases.

Where subsidiaries are acquired by way of a group reorganisation, from another group company, and the relevant conditions are met; the company uses the Merger Accounting method, for consolidation purposes.

2.3

Going concern

The consolidated financial statements have been prepared on a going concern basis.

Financial performance since the balance sheet date

Based on unaudited management information for period subsequent to the reporting date, during the years ended 31 December 2025, the Group recorded revenue of £70.9m, and forecasted revenue for the year ended 31 December 2026 is £64.9m. The decline in revenue can be attributed to macroeconomic conditions including inflation and rising interest rates which have impacted customer purchasing behaviour and sentiment. Customers are extending time between salon visits or opting for cost-effective alternatives due to the rising cost of other day-to-day necessities.

Due to a continued decline in trading  for the Zala brand based in Australia, management made the decision to cease operations and liquidate the business in December 2025. The revenue contributed by the Zala brand during the year ended 31 December 2025 was £5.5m. Excluding the impact of Zala from the Group's continuing businesses, revenue in 2025 is £65.4m and is forecast to remain broadly consistent at £64.9m in 2026.

Beauty Industry Group completed a restructuring in December 2025 to simplify the business and provide a more focused approach with fewer brands, which included the Zala brand ceasing operations. The restructuring at Beauty Industry Group also included an amendment and restructuring of its existing group financing arrangement. The amended and restructured group financing arrangement reduced the outstanding amount of debt allocated to the Group to $57.0m from $175.2m.

The directors have also considered the deterioration in the German operations during 2025, including its impact on forecast cash flows, in assessing the Group's ability to continue as a going concern.

The Group has remained in a net asset position and retained positive cash balances, with consolidated net assets as of 31 December 2025 totalling £45.2m, and consolidated net assets as of 30 September 2026 totalling £44.0m. Cash for the Group as of 30 September 2026 and 31 December 2025 totals £9.1m and £11.3m respectively. The Group has met and expects to meet its working capital requirements through its cash balances and loans / funding from the wider Beauty Industry Group.

Based on the Group's forecasts and projections, combined with the Group’s cash balance and net asset position, the directors believe the Group and Company have sufficient facilities to trade through the next twelve months.

Parent company support

The Group consists of subsidiaries of Notorious Holdings, LLC (the “Supporting Entity" or “Beauty Industry Group”), and throughout the period from the balance sheet date to the date of approval, the Group's ability to continue as a going concern has been, and continues to be, dependent in part on the financial support of the Supporting Entity. The directors have received a letter of support from the Supporting Entity, dated 29 October 2026, confirming that the Supporting Entity will:

∙provide such financial support as is necessary to enable the Group to meet its liabilities as they fall due; and
∙not seek repayment of the intercompany balances owed by the Group to the Supporting Entity for a period of at least 12 months from the date of approval of these financial statements.

2.3
Going concern (continued)

The directors have reviewed the Supporting Entity's financial position and forecasts, including its financial statements as of and for the year ended 31 December 2025, to satisfy themselves that the Supporting Entity has the financial resources to provide this support and note that the Supporting Entity's own financial statements were prepared on a going concern basis without material uncertainty.

The directors believe it is appropriate, therefore, to prepare the consolidated financial statements for the period to 31 December 2024 on a going concern basis and the Group and Company will remain solvent in the twelve months after the date of approval of the financial statements.

2.4

Foreign currency translation

Functional and presentation currency

The Company's functional and presentational currency is GBP.

Transactions and balances

Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions.

At each period end foreign currency monetary items are translated using the closing rate. Non-monetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined.

On consolidation, the results of overseas operations are translated into Sterling at rates approximating to those ruling when the transactions took place. All assets and liabilities of overseas operations are translated at the rate ruling at the reporting date. Exchange differences arising on translating the opening net assets at opening rate and the results of overseas operations at actual rate are recognised in other comprehensive income.

2.5

Revenue

Revenue is recognised to the extent that it is probable that the economic benefits will flow to the Group and the revenue can be reliably measured. Revenue is measured as the fair value of the consideration received or receivable, excluding discounts, rebates, value added tax and other sales taxes. The following criteria must also be met before revenue is recognised:

Sale of goods

Revenue from the sale of goods is recognised when all of the following conditions are satisfied:
∙the Group has transferred the significant risks and rewards of ownership to the buyer;
∙the Group retains neither continuing managerial involvement to the degree usually associated with ownership nor effective control over the goods sold;
∙the amount of revenue can be measured reliably;
∙it is probable that the Group will receive the consideration due under the transaction; and
∙the costs incurred or to be incurred in respect of the transaction can be measured reliably.

Royalty income

Royalties are recognised on an accruals basis in accordance with the substance of the relevant agreement.

2.6

Operating leases: the Group as lessee

Rentals paid under operating leases are charged to profit or loss on a straight-line basis over the lease term.

Benefits received and receivable as an incentive to sign an operating lease are recognised on a straight-line basis over the lease term, unless another systematic basis is representative of the time pattern of the lessee's benefit from the use of the leased asset.

2.7

Interest income

Interest income is recognised in profit or loss using the effective interest method.

2.8

Finance costs

Finance costs are charged to profit or loss over the term of the debt using the effective interest method so that the amount charged is at a constant rate on the carrying amount. Issue costs are initially recognised as a reduction in the proceeds of the associated capital instrument.

2.9

Pensions

Defined contribution pension plan

The Group operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the Group pays fixed contributions into a separate entity. Once the contributions have been paid the Group has no further payment obligations.

The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance Sheet. The assets of the plan are held separately from the Group in independently administered funds.

2.10

Current and deferred taxation

The tax expense for the year comprises current and deferred tax. Tax is recognised in profit or loss except that a charge attributable to an item of income and expense recognised as other comprehensive income or to an item recognised directly in equity is also recognised in other comprehensive income or directly in equity respectively.

The current income tax charge is calculated on the basis of tax rates and laws that have been enacted or substantively enacted by the balance sheet date in the countries where the Company and the Group operate and generate income.

Deferred tax balances are recognised in respect of all timing differences that have originated but not reversed by the balance sheet date, except that:
∙The recognition of deferred tax assets is limited to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits;
∙Any deferred tax balances are reversed if and when all conditions for retaining associated tax allowances have been met; and
∙Where they relate to timing differences in respect of interests in subsidiaries, associates, branches and joint ventures and the Group can control the reversal of the timing differences and such reversal is not considered probable in the foreseeable future.

Deferred tax balances are not recognised in respect of permanent differences except in respect of business combinations, when deferred tax is recognised on the differences between the fair values of assets acquired and the future tax deductions available for them and the differences between the fair values of liabilities acquired and the amount that will be assessed for tax. Deferred tax is determined using tax rates and laws that have been enacted or substantively enacted by the balance sheet date.

Intangible assets

Goodwill

Goodwill represents the difference between amounts paid on the cost of a business combination and the acquirer’s interest in the fair value of the Group's share of its identifiable assets and liabilities of the acquiree at the date of acquisition. Subsequent to initial recognition, goodwill is measured at cost less accumulated amortisation and accumulated impairment losses. Goodwill is amortised on a straight-line basis to the Consolidated Statement of Comprehensive Income over 10 years.

Other intangible assets

Intangible assets are initially recognised at cost. After recognition, under the cost model, intangible assets are measured at cost less any accumulated amortisation and any accumulated impairment losses.

All intangible assets are considered to have a finite useful life. If a reliable estimate of the useful life cannot be made, the useful life shall not exceed ten years.

The estimated useful lives range as follows:

Development costs
-
4
years
Goodwill
-
10
years
Trademarks
-
13
years
Computer software
-
10
years

2.13

Tangible fixed assets

Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management.

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method.

Depreciation is provided on the following basis:

Short-term leasehold property
-
Straight line over the life of the lease
Motor vehicles
-
25% straight line
Fixtures, fittings and equipment
-
10% to 100% straight line
Computer equipment
-
20% to 50% straight line
Assets under construction
-
Not depreciated

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date.

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss.

2.14

Impairment of fixed assets and goodwill

Assets that are subject to depreciation or amortisation are assessed at each balance sheet date to determine whether there is any indication that the assets are impaired. Where there is any indication that an asset may be impaired, the carrying value of the asset (or cash-generating unit to which the asset has been allocated) is tested for impairment. An impairment loss is recognised for the amount by which the asset's carrying amount exceeds its recoverable amount. The recoverable amount is the higher of an asset's (or CGU's) fair value less costs to sell and value in use. For the purposes of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows (CGUs). Non-financial assets that have been previously impaired are reviewed at each balance sheet date to assess whether there is any indication that the impairment losses recognised in prior periods may no longer exist or may have decreased.

2.15

Valuation of investments

Investments in subsidiaries are measured at cost less accumulated impairment.

2.16

Stocks

Stocks are stated at the lower of cost and net realisable value, being the estimated selling price less costs to complete and sell. Cost is based on the cost of purchase on a weighted average basis. Work in progress and finished goods include labour and attributable overheads.

At each balance sheet date, stocks are assessed for impairment. If stock is impaired, the carrying amount is reduced to its selling price less costs to complete and sell. The impairment loss is recognised immediately in profit or loss.

2.17

Cash and cash equivalents

Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours.

2.18

Provisions for liabilities

Provisions are recognised when an event has taken place that gives rise to a legal or constructive obligation, a transfer of economic benefits is probable and a reliable estimate can be made.

Provisions are measured as the best estimate of the amount required to settle the obligation, taking into account the related risks and uncertainties.

Increases in provisions are generally charged as an expense to profit or loss.

Financial instruments

The Group has elected to apply the provisions of Section 11 “Basic Financial Instruments” of FRS 102 to all of its financial instruments.

Financial assets and liabilities are offset, with the net amounts presented in the financial statements, when there is a legally enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously.

Basic financial assets

Basic financial assets, which include trade and other debtors, cash and bank balances, are initially measured at their transaction price (adjusted for transaction costs except in the initial measurement of financial assets that are subsequently measured at fair value through profit and loss) and are subsequently carried at their amortised cost using the effective interest method, less any provision for impairment, unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Discounting is omitted where the effect of discounting is immaterial. The Group's cash and cash equivalents, trade and most other debtors due with the operating cycle fall into this category of financial instruments.

Other financial assets

Other financial assets, which includes investments in equity instruments which are not classified as subsidiaries, associates or joint ventures, are initially measured at fair value, which is normally the recognised transaction price. Such assets are subsequently measured at fair value with the changes in fair value being recognised in the profit or loss. Where other financial assets are not publicly traded, hence their fair value cannot be measured reliably, they are measured at cost less impairment.

Impairment of financial assets

At the end of each reporting period financial assets measured at amortised cost are assessed for objective evidence of impairment. If an asset is impaired the impairment loss is the difference between the carrying amount and the present value of the estimated cash flows discounted at the asset’s original effective interest rate. The impairment loss is recognised in profit or loss.

Financial assets are impaired when events, subsequent to their initial recognition, indicate the estimated future cash flows derived from the financial asset(s) have been adversely impacted. The impairment loss will be the difference between the current carrying amount and the present value of the future cash flows at the asset(s) original effective interest rate.

If there is a favourable change in relation to the events surrounding the impairment loss then the impairment can be reviewed for possible reversal. The reversal will not cause the current carrying amount to exceed the original carrying amount had the impairment not been recognised. The impairment reversal is recognised in the profit or loss.

2.19
Financial instruments (continued)

Basic financial liabilities

Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the Group after the deduction of all its liabilities.

Basic financial liabilities, which include trade and other creditors, bank loans, other loans and loans due to fellow group companies are initially measured at their transaction price (adjusting for transaction costs except in the initial measurement of financial liabilities that are subsequently measured at fair value through profit and loss). When this constitutes a financing transaction, whereby the debt instrument is measured at the present value of the future payments discounted at a market rate of interest, discounting is omitted where the effect of discounting is immaterial.

Debt instruments are subsequently carried at their amortised cost using the effective interest rate method.

Trade creditors are obligations to pay for goods and services that have been acquired in the ordinary course of business from suppliers. Trade creditors are classified as current liabilities if the payment is due within one year. If not, they represent non-current liabilities. Trade creditors are initially recognised at their transaction price and subsequently are measured at amortised cost using the effective interest method. Discounting is omitted where the effect of discounting is immaterial.

Derecognition of financial assets

Financial assets are derecognised when their contractual right to future cash flow expire, or are settled, or when the Group transfers the asset and substantially all the risks and rewards of ownership to another party. If significant risks and rewards of ownership are retained after the transfer to another party, then the Group will continue to recognise the value of the portion of the risks and rewards retained.

Derecognition of financial liabilities

Financial liabilities are derecognised when the Group's contractual obligations expire or are discharged or cancelled.

Judgements in applying accounting policies and key sources of estimation uncertainty

Preparation of the financial statements requires management to make significant judgements and estimates that affect amounts recognised for assets and liabilities at the reporting date and the amounts of revenue and expenses incurred during the reporting period. Actual outcomes may differ from these judgements, estimates and assumptions. The judgements, estimates and assumptions that have the most significant effect on the carrying value of assets and liabilities of the Group as at 31 December 2024 are discussed below:

Key sources of estimation uncertainty

Provision for impairment loss on trade debtors

Management exercises judgement in providing for impairment losses on trade debtors. Provisions are made for items when management do not consider them to be recoverable. At the year-end, trade debtors totalled £4,821,613 (2023: £4,845,481), of which £544,968 has been provided against in 2024 (2023:£43,255).

Provision for obsolete and slow moving stocks

Management reviews the Group's stocks to assess loss on account of obsolescence on a regular basis. In determining whether provision for obsolescence should be recorded in profit or loss, the Group makes judgement as to whether there is any observable data indicating that there is any future saleability of the product and the estimated net realisable value for such product. Accordingly, provision for impairment is made where the net realisable value is less than the cost based on best estimates by management. Any provision for slow-moving stock is based on the ageing and historical sales pattern. At the reporting date, stocks held by the Group totalled £22,375,918 (2023: £21,083,635) against which provisions for obsolete and slow-moving stocks of £520,463 (2023: £204,447) have been recognised.

Goodwill

Goodwill acquired on business combinations is capitalised on the consolidated balance sheet and amortised over its useful economic life or ten years, whichever is shorter. Goodwill is also reviewed for impairment to reflect revised assumptions around future sales growth, cost inflation, and discount rates. Any charge is non-cash and has no impact on the Group’s operations or financial covenants.

At the year end, the carrying value of goodwill was £19,833,484 (
2023: £23,827,962) and no impairment charge has been processed in the year (2023: £Nil).

Impairment of intangible assets

Management exercises judgement in assessing whether there are indicators that intangible assets may be impaired and, where indicators are identified, in determining their recoverable amount. This assessment involves estimates regarding future trading performance and cash flows, including assumptions in respect of future sales growth, cost inflation and appropriate discount rates.

The trademarks associated with Zala Group Pty Ltd remain fully impaired at 31 December 2024, following an impairment charge of £4,108,862 recognised in the prior year and included within exceptional administrative expenses. Accordingly, the trademarks have a carrying value of £nil at the reporting date.

Factors that may affect future tax charges

There were no factors that may affect future tax charges.

International tax reform - Pillar Two model rules

The OECD's Pillar Two model rules, which seek to establish a global minimum effective tax rate of 15% for large multinational groups, have been implemented into UK legislation and are effective for the current reporting period.

Management of Cleopatra UK Bidco Limited has assessed the applicability of the Pillar Two rules and determined that the worldwide group does not meet the revenue threshold required to fall within their scope. Accordingly, the rules have no impact on the Group's current or deferred tax balances at the reporting date.

Contingent liabilities, charges and guarantees

During previous periods, the company granted security in favour of Blue Owl Capital Corporation (formerly known as Owl Rock Capital Corporation) (as Collateral Agent) comprising:

∙on 23 November 2021, a debenture creating fixed and floating charges over all the property or undertaking of the company; and
∙on 7 March 2022, fixed charges over the following registered trade marks:
°“Beauty Works Luxury Hair Extensions & Hair Accessories” (US Registration No. 4633519)
°“Beauty Works” (Canadian Registration No. TMA898554)

These charges secure obligations under a group financing arrangement. At 31 December 2024, the total debt allocated under this group financing arrangement was $175.2 million.

In December 2025, Beauty Industry Group underwent a change of control and restructuring of its debt and at 31 December 2025, the total debt allocated under this group financing arrangement was $57 million.

Post balance sheet events

Subsequent to the year end, management commenced the wind-down and liquidation of the Zala brand during 2025.
The liquidation process remains ongoing at the date of approval of these financial statements. As the process has not yet been finalised, the ultimate financial effect on the Group and Company, including any effect on related intra-group balances, cannot currently be reliably estimated.

In December 2025, Beauty Industry Group underwent a change of control and restructuring of its debt. The restructuring did not amend the terms of the loan notes between the Company and BIG ROW Holdco (Cayman) LLC.

During 2025, the £11.2m loan note previously held by a director was waived/released.

During 2025, the Group's German operations experienced a significant deterioration in trading following the insolvency of a key third-party logistics provider, which necessitated the appointment of an alternative logistics partner, together with separate product quality issues that emerged during the year. These factors resulted in operational disruption, customer losses and lower than anticipated trading performance, leading management to revise its forecasts for the German business. As these events and conditions arose after 31 December 2024 and did not provide evidence of conditions that existed at the reporting date, the directors consider them to be non-adjusting events after the reporting period. A preliminary assessment indicates a potential impairment of approximately £16m against the Company's investment in the German business subject to finalisation as part of the FY2025 accounts. No adjustment has been recognised in these financial statements.

31.

Controlling party

The Company's immediate parent undertaking is BIG ROW Holdco (Cayman) LLC, a company incorporated in the Cayman Islands, whose registered office is at 190 Elgin Avenue, George Town, Grand Cayman, KY1-9008, Cayman Islands.

During the year and until 18 December 2025, the Company's ultimate parent undertaking was L Catterton Funds, a company registered in the United States of America. Following a change of control on 19 December 2025, the ultimate parent undertaking became Blue Owl Capital Inc., a company incorporated in the United States of America and listed on the New York Stock Exchange, whose principal office is at 399 Park Avenue, New York, NY 10023.

Neither BIG ROW Holdco (Cayman) LLC nor Blue Owl Capital Inc. prepares consolidated financial statements that are publicly available and include the Company and its subsidiaries.
