8. Average number of employees
During the period the average number of employees was 3 (2024: 6).
The average number of employees, including the salaried director, is estimated from available monthly payroll and settlement records, treating employees as continuing between their first and last identified payroll activity and rounding to a whole person. The 2025 figure is an estimate because complete employment dates for zero-pay months are unavailable.
9. Accounting estimates and VAT matters under investigation
The recoverability of two historical input-VAT amounts of GBP700 and GBP337.01 remains under investigation. On current documentary evidence, disputed or unsupported input tax has not been retained in the year-end VAT control balance, which is an estimated liability of GBP250.20. Genuine company service costs are recognised once. An accounting-service payment of GBP2,022.08 is provisionally recognised as gross 2025 cost, and GBP1,980 of separately documented supplier liabilities is retained because settlement on their behalf has not been evidenced. The supplier allocation and service-completion period are estimates based on records available, rather than findings that an additional service was or was not supplied or a supplier was or was not paid. Subsequent VAT repayments and any corrective filings will be reconciled separately. These accounts do not amend a VAT return or establish an agreed additional amount payable to HMRC. Estimates will be reconsidered when reliable evidence becomes available; any material prior-period error established will be corrected under the applicable requirements.
10. Reconstruction and prior period adjustments
Certain historical records are incomplete. After reasonable enquiry, reliable period-specific effects of all historical balance classifications cannot be determined. In accordance with FRS 102 paragraph 10.22, the reconstruction has therefore been made at 1 January 2025, the earliest date for which it is practicable. Comparative figures are presented as previously reported. Opening accumulated losses have increased by GBP10,513.41, from GBP48,363 to GBP58,876.41. This comprises unsubstantiated other debtors GBP1,760, opening unpaid payroll and pension liabilities GBP8,711.11, historic PAYE interest GBP55.27, less software prepayments GBP12.35 and repayment interest GBP1.23, together with rounding differences GBP0.61. VAT receivable GBP3,350.93 and PAYE principal GBP9,093.03 have been separately reconstructed from the previously reported net tax balance. The adjustments do not affect the 2025 profit and loss account. The historical allocation of payroll and pension balances against the director's loan remains under review; if evidence shows that those liabilities were already included in that loan, reclassification will be required to avoid duplication.
11. Going concern and material uncertainty
At 31 December 2025 the company had net liabilities of GBP62,304.21. It has overdue taxation and unpaid payroll liabilities and remains dependent on future trading receipts and finance being available to settle obligations as they fall due. The director has confirmed that repayment of the director's loan of GBP33,952.31 will not be demanded for at least 12 months from the date the accounts are approved. This is not a waiver of the loan or an unconditional commitment to provide additional finance. The loan is presented within amounts falling due within one year because the subsequent confirmation does not establish a contractual right to defer settlement at the reporting date. These conditions indicate a material uncertainty that may cast significant doubt on the company's ability to continue as a going concern. The accounts are prepared on a going-concern basis, following the director's assessment and approval, and do not include adjustments that would result if the company could not continue in operation.
