The company has received funding under a Simple Agreement for Future Equity (“SAFE”). The agreement provides for conversion into shares upon a future equity financing, subject to a US$12 million post-money valuation cap and a 15% discount. It has no specified maturity date and includes settlement provisions upon specified liquidity or dissolution events.
The SAFE is classified as a financial liability because the conversion terms provide for the issue of a variable number of the company’s own equity instruments.
