Compliance with accounting standards
The financial statements have been prepared in accordance with FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland, including Section 1A Small Entities, and the Companies Act 2006 as it applies to companies subject to the small companies regime. There were no material departures from that standard.
The principal accounting policies are set out below and have been applied consistently, except for the restatement of comparatives described below.
The financial statements have been prepared under the historical cost convention. They are presented in pounds sterling, the functional currency of the company, rounded to the nearest pound.
Current tax is recognised for the amount of corporation tax payable on the taxable profit for the year, using tax rates enacted or substantively enacted at the reporting date. Deferred tax is recognised on timing differences that have originated but not reversed at the reporting date. A deferred tax asset in respect of unrelieved tax losses is recognised only to the extent that it is probable it will be recovered against future taxable profits.
Exceptional items
Items that are material in size or nature and are not expected to recur are disclosed separately. Administrative expenses include an exceptional item of £38,500 (2025: nil), being an investment written off which the director has concluded will not be recovered.
Share capital
The company’s issued share capital is 100 ordinary shares of £1 each, allotted, called up and not paid (2025: 100 shares, restated).
Restatement of comparatives
The company’s share capital of £100, unpaid, was omitted from the financial statements for the year ended 31 January 2025, and the comparatives have been restated. The balance owed to Realveeu Ltd, previously described as owed to group undertakings, has been reclassified as other creditors. The restatement has no effect on the loss for either year.
Judgements and estimates
The interest element of the Bounce Back Loan repayments has been estimated by applying the scheme rate of 2.5% to the reducing balance. The director has judged that the investment of £38,500 is not recoverable.
At 31 January 2026 the company had net liabilities of £45,101 (2025: £6,121). The company is funded by its director and by Realveeu Ltd, a company controlled by the director. Both have confirmed that they will continue to support the company and will not seek repayment of amounts owed to them where this would leave the company unable to meet its other liabilities as they fall due, for a period of at least twelve months from the date of approval of these financial statements.
On this basis the director considers it appropriate to prepare the financial statements on the going concern basis.
Digital Solace Limited
Notes to the Accounts
for the year ended 31 January 2026
The company has only basic financial instruments, accounted for under Section 11 of FRS 102.

Amounts receivable are measured at transaction price less any impairment. At each reporting date the company assesses whether there is objective evidence of impairment, and any impairment loss is recognised immediately in profit or loss.
Interest payable on the Bounce Back Loan is recognised in profit or loss in the period in which it is incurred.
