1.7
Financial instruments
The company has elected to apply the provisions of Section 11 'Basic Financial Instruments' of FRS 102 to all of its financial instruments. The company's financial instruments comprise cash, debtors and creditors, all of which are basic financial instruments.
Financial instruments are recognised in the company's balance sheet when the company becomes party to the contractual provisions of the instrument.
Basic financial assets
Debtors and cash and bank balances are initially measured at transaction price and subsequently carried at amortised cost. Financial assets classified as receivable within one year are not amortised. Financial assets are assessed for indicators of impairment at each reporting end date, and any impairment loss is recognised in profit or loss. Financial assets are derecognised when the contractual rights to the cash flows expire or are settled, or when substantially all the risks and rewards of ownership are transferred to another party.
Basic financial liabilities and equity
Financial liabilities and equity instruments are classified according to the substance of the contractual arrangements entered into. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities.
Creditors, including trade creditors and accruals, are initially recognised at transaction price and subsequently measured at amortised cost. Amounts payable within one year are classified as current liabilities and are not amortised. Financial liabilities are derecognised when the company's contractual obligations expire or are discharged or cancelled.
1.8
Taxation
The tax expense represents the sum of the tax currently payable and deferred tax.
Current tax
The tax currently payable is based on taxable profit for the year. Taxable profit differs from net profit as reported in the profit and loss account because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The company’s liability for current tax is calculated using tax rates that have been enacted or substantively enacted by the reporting end date.
Deferred tax
Deferred tax liabilities are generally recognised for all timing differences and deferred tax assets are recognised to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. Such assets and liabilities are not recognised if the timing difference arises from goodwill or from the initial recognition of other assets and liabilities in a transaction that affects neither the tax profit nor the accounting profit.
The carrying amount of deferred tax assets is reviewed at each reporting end date and reduced to the extent that it is no longer probable that sufficient taxable profits will be available to allow all or part of the asset to be recovered. Deferred tax is calculated at the tax rates that are expected to apply in the period when the liability is settled or the asset is realised. Deferred tax is charged or credited in the profit and loss account, except when it relates to items charged or credited directly to equity, in which case the deferred tax is also dealt with in equity. Deferred tax assets and liabilities are offset when the company has a legally enforceable right to offset current tax assets and liabilities and the deferred tax assets and liabilities relate to taxes levied by the same tax authority.

8
Share-based payment transactions
The Company operates a Share Option Plan and has also issued Growth Shares to certain directors and consultants. Share Options are granted to employees, directors and consultants at an exercise price determined by the Directors at the date of grant.
All awards are equity-settled. The exercise price and vesting conditions of Share Options are subject to approval by the Board of Directors, and each Share Option has an exercise price of £0.0001. Share Options are subject to good leaver/bad leaver provisions and generally vest over four years, with certain earlier awards vesting over one year.
As at 30 June 2026, 85,192 Share Options (2025: 76,692) were outstanding, held by employees, directors and consultants, of which 66,903 (2025: 53,837) had vested. During the year, 8,500 Share Options were granted. No Share Options lapsed or were exercised in either the current or prior year.
At 30 June 2026, 40,508 Growth Shares (2025 re-presented: 46,500) were in issue to directors and consultants, of which 34,814 (2025: 46,500) had vested. During the year, 7,008 Growth Shares were issued, which vest over a period of 48 months; 1,314 of these had vested at 30 June 2026. In addition, 13,000 fully vested Growth Shares were redesignated as Deferred Shares during the year. As these awards had already vested, the cumulative share-based payment charge previously recognised has not been reversed.
The 2025 comparatives have been re-presented to exclude 42,840 Growth Shares that lapsed, and 18,360 vested Growth Shares that were converted into Ordinary Shares, during the year ended 30 June 2025. These had previously been included in the 107,700 Growth Shares reported as in issue at that date. The re-presentation has no impact on the prior year share-based payment charge or on reserves.
The fair value of Share Options and Growth Shares granted was measured at the date of grant using the Black-Scholes option pricing model. Expected volatility of 50% was determined by reference to comparable venture-backed companies at a similar stage of development, and a risk-free rate of 3.75% (2025: 5%) was applied, based on UK government bond yields of an equivalent term at the date of grant. A share-based payment charge of £40,408 (2025: credit of £136,818) has been recognised in profit or loss, with a corresponding entry in equity.
