Company information
Shell Build UK Limited is a private company limited by shares incorporated in England and Wales. The registered office is 238 Station Road, Addlestone, Surrey, United Kingdom, KT15 2PS.
1.1
Reporting period
These are the company’s first financial statements and cover the thirteen-month period from incorporation on 1 November 2024 to 30 November 2025. The period includes the initial period following incorporation. No comparative information is presented.
1.2
Basis of preparation
These financial statements have been prepared in accordance with FRS 102 “The Financial Reporting Standard applicable in the UK and Republic of Ireland” (“FRS 102”) and the requirements of the Companies Act 2006 as applicable to companies subject to the small companies regime. The disclosure requirements of section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The financial statements are prepared in sterling, which is the functional currency of the company. Monetary amounts in these financial statements are rounded to the nearest £.
The financial statements have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
1.3
Going concern
Atruet the time of approving the financial statements, the directors have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. Thus the directors continue to adopt the going concern basis of accounting in preparing the financial statements.
1.4
Revenue
Turnover comprises amounts earned from building and construction services, excluding VAT and after discounts.
Where the outcome of a construction contract can be estimated reliably, contract revenue and related costs are recognised by reference to the stage of completion at the reporting date. The stage of completion is measured using costs attributable to work performed to date as a proportion of estimated total contract costs.
Where the outcome cannot be estimated reliably, revenue is recognised only to the extent of costs incurred that are expected to be recovered. Contract costs are recognised as expenses as incurred.
Anticipated losses on construction contracts are recognised immediately in profit or loss.

1.6
Financial instruments
The company applies Sections 11 and 12 of FRS 102 to its financial instruments. Financial instruments are recognised when the company becomes party to their contractual terms.
Basic financial assets and liabilities are initially recorded at the transaction price, including directly attributable transaction costs. Where an arrangement constitutes a financing transaction, the initial amount is the present value of future payments discounted using a market rate for a comparable instrument.
Subsequently, basic debt instruments are measured at amortised cost using the effective interest method. Non-interest-bearing amounts due within one year on normal business terms are measured at undiscounted settlement amounts.
Financial assets are assessed for objective evidence of impairment at each reporting date. Any impairment loss is recognised in profit or loss.
Financial assets and liabilities are offset only where there is an enforceable legal right to do so and the company intends net settlement or simultaneous realisation and settlement.
1.7
Equity instruments
Equity instruments issued by the company are recorded at the proceeds received, net of transaction costs. Dividends payable on equity instruments are recognised as liabilities once they are no longer at the discretion of the company.
1.8
Taxation
The tax charge comprises current and deferred tax.
Current tax
Current tax is calculated on the taxable profit for the period using tax rates and legislation enacted or substantively enacted by the balance sheet date.
Deferred tax
Deferred tax is recognised on timing differences at the balance sheet date, subject to the exceptions in Section 29 of FRS 102. Deferred tax assets, including those arising from tax losses, are recognised only where recovery is probable.
Deferred tax is measured without discounting, using tax rates enacted or substantively enacted by the balance sheet date that are expected to apply when the timing differences reverse.
Tax is recognised in profit or loss unless the underlying transaction is recognised in other comprehensive income or directly in equity, in which case the tax is recognised in the same component.
Deferred tax assets and liabilities are offset where the company has a legally enforceable right to offset current tax assets and liabilities and the balances relate to taxes levied on the company by the same taxation authority.
