Go1 UK Learning Limited (Registered number: 11867333) |
Report of the Directors |
for the Year Ended 30 June 2025 |
FINANCIAL RISK MANAGEMENT |
The company's activities expose it to a number of financial risks, including price risk, credit risk, liquidity risk and cash flow risk. The company's financial risk management is overseen by the directors in conjunction with the group finance function of its parent undertaking. The company does not use derivative financial instruments and does not apply hedge accounting. |
Price risk |
The company is exposed to foreign exchange risk on transactions and balances denominated in currencies other than sterling, arising from sales to customers outside the United Kingdom and balances with group undertakings. Exchange differences are monitored by the group finance function. The company does not hedge its foreign currency exposures. |
Credit risk |
The company's principal financial assets are trade debtors, amounts owed by group undertakings and cash at bank. Credit risk on trade debtors is managed through credit assessment of new customers and partners, regular monitoring of debtor ageing and follow-up of overdue balances. An allowance for impairment is recognised based on the ageing of debtors and historical loss experience. Credit risk on amounts owed by group undertakings is considered low given the financial support provided by the parent undertaking. Cash balances are held with HSBC, Airwallex, SVB and Tipalti. |
Liquidity risk |
The company has net current liabilities at the balance sheet date and relies on the continued financial support of its parent undertaking. The parent undertaking has confirmed that it will not seek repayment of amounts owed by the company until the company is in a position to repay them in the normal course of business, and that it will continue to provide financial support for at least twelve months from the date of approval of these financial statements. Cash requirements are monitored through regular cash flow forecasting by the group finance function. |
Cash flow risk |
The company has no external interest-bearing borrowings, so its exposure to interest rate cash flow risk is limited. Its principal cash flow risk arises from movements in exchange rates affecting the sterling value of foreign currency receipts and payments, which is managed as described under price risk above. |
DIRECTORS' INDEMNITY INSURANCE |
Directors' liability and indemnity insurance was in force throughout the year to cover the directors' and officers of the company against actions brought against them in their personal capacity. Neither the insurance nor the indemnity provide cover where the individual has acted fraudulently or dishonestly. |

STATEMENT OF DIRECTORS' RESPONSIBILITIES |
The directors are responsible for preparing the Strategic Report, the Report of the Directors and the financial statements in accordance with applicable law and regulations. |
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit or loss of the company for that period. In preparing these financial statements, the directors are required to: |
- | select suitable accounting policies and then apply them consistently; |
- | make judgements and accounting estimates that are reasonable and prudent; |
- | prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business. |
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |
STATEMENT AS TO DISCLOSURE OF INFORMATION TO AUDITORS |
| So far as the directors are aware, there is no relevant audit information (as defined by Section 418 of the Companies Act 2006) of which the company's auditors are unaware, and each director has taken all the steps that he ought to have taken as a director in order to make himself aware of any relevant audit information and to establish that the company's auditors are aware of that information. |
AUDITORS |
The auditors, Atkinsons, will be proposed for re-appointment at the forthcoming Annual General Meeting. |
ON BEHALF OF THE BOARD: |
Report of the Independent Auditors to the Members of |
Go1 UK Learning Limited |
Opinion |
| We have audited the financial statements of Go1 UK Learning Limited (the 'company') for the year ended |
| 30 June 2025 which comprise the Income Statement, Balance Sheet, Statement of Changes in Equity, Cash Flow Statement and Notes to the Cash Flow Statement, Notes to the Financial Statements, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice). |
| In our opinion the financial statements: |
| - | give a true and fair view of the state of the company's affairs as at 30 June 2025 and of its profit for the year then ended; |
| - | have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and |
| - | have been prepared in accordance with the requirements of the Companies Act 2006. |
Basis for opinion |
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the UK, including the FRC's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. |
Conclusions relating to going concern |
In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate. |
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. |
Our responsibilities and the responsibilities of the directors with respect to going concern are described in the relevant sections of this report. |
Other information |
The directors are responsible for the other information. The other information comprises the information in the Strategic Report and the Report of the Directors, but does not include the financial statements and our Report of the Auditors thereon. |
Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. |
In connection with our audit of the financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard. |
Report of the Independent Auditors to the Members of |
Go1 UK Learning Limited |
Opinions on other matters prescribed by the Companies Act 2006 |
In our opinion, based on the work undertaken in the course of the audit: |
- | the information given in the Strategic Report and the Report of the Directors for the financial year for which the financial statements are prepared is consistent with the financial statements; and |
- | the Strategic Report and the Report of the Directors have been prepared in accordance with applicable legal requirements. |
Matters on which we are required to report by exception |
In the light of the knowledge and understanding of the company and its environment obtained in the course of the audit, we have not identified material misstatements in the Strategic Report or the Report of the Directors. |
We have nothing to report in respect of the following matters where the Companies Act 2006 requires us to report to you if, in our opinion: |
- | adequate accounting records have not been kept, or returns adequate for our audit have not been received from branches not visited by us; or |
- | the financial statements are not in agreement with the accounting records and returns; or |
- | certain disclosures of directors' remuneration specified by law are not made; or |
- | we have not received all the information and explanations we require for our audit. |
Responsibilities of directors |
As explained more fully in the Statement of Directors' Responsibilities set out on page six, the directors are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the directors determine necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. |
In preparing the financial statements, the directors are responsible for assessing the company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the directors either intend to liquidate the company or to cease operations, or have no realistic alternative but to do so. |
Report of the Independent Auditors to the Members of |
Go1 UK Learning Limited |
Auditors' responsibilities for the audit of the financial statements |
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue a Report of the Auditors that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. |
The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below: |
- Performing audit work over the risk of management override, including testing of journal entries and other adjustments for appropriateness. |
- Reviewing financial statement disclosures and testing supporting documentation to assess compliance with applicable laws and regulations. |
- Enquiry with management around potential litigation and claims. |
Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation. |
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at www.frc.org.uk/auditorsresponsibilities. This description forms part of our Report of the Auditors. |
Use of our report |
This report is made solely to the company's members, as a body, in accordance with Chapter 3 of Part 16 of the Companies Act 2006. Our audit work has been undertaken so that we might state to the company's members those matters we are required to state to them in a Report of the Auditors and for no other purpose. To the fullest extent permitted by law, we do not accept or assume responsibility to anyone other than the company and the company's members as a body, for our audit work, for this report, or for the opinions we have formed. |

2. | ACCOUNTING POLICIES |
Basis of preparing the financial statements |
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. |
The preparation of financial statements in compliance with FRS 102 requires the use of certain critical accounting estimates. It also requires management to exercise judgment in applying the Company's accounting policies. |
The financial statements are presented in £ sterling, the functional currency, rounded to the nearest £1. |
The following principal accounting policies have been applied: |
Critical accounting judgements and key sources of estimation uncertainty |
| In the application of the company’s accounting policies management is required to make judgements, estimates and assumptions about the carrying values of assets and liabilities that are not readily apparent from other sources. The estimates and underlying assumptions are based on historical experience and other factors that are considered to be relevant. Actual results may differ from these estimates. |
| The estimates and underlying assumptions are reviewed on an ongoing basis. Revisions to accounting estimates are recognised in the period in which the estimate is revised if the revision affects only that period, or in the period of the revision and future periods if the revision affects both current and future periods. Management has not made any critical judgements that require further disclosure in the current financial statements. |
Changes in accounting policies |
| During the year, the company changed its accounting policy for sales commissions and other incremental costs of obtaining customer contracts. Previously these costs were capitalised and released to profit or loss over the term of the related contracts. They are now recognised in profit or loss as incurred. The directors consider that the new policy provides reliable and more relevant information because it is consistent with the treatment generally adopted by UK entities reporting under FRS 102 and removes judgement over the recoverability of capitalised costs. The change has been applied retrospectively, and the comparative figures have been restated. |

Turnover |
Turnover represents amounts receivable for services provided, net of VAT and trade discounts. |
Subscriptions to the Go1 online learning library are invoiced in advance and recognised on a straight-line basis over the period to which each invoice relates. Where sold through distribution partners, turnover is recognised gross and the partner’s share is included in commission payable. Implementation and other services are recognised as performed. Recharges to group undertakings, including a transfer pricing mark-up, are recognised in the period the related costs are incurred. |
Amounts invoiced in advance are included in deferred income. Revenue earned but not yet invoiced is included in accrued income. Intercompany income arises from staff employed by the company on behalf of other group undertakings. Their employment costs are recharged, together with a mark-up, under the group’s transfer pricing agreement. |
Tangible fixed assets |
Fixtures and fittings | - |
Office and computer equipment | - |
| Tangible fixed assets under the cost model are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost includes expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. |
| At each reporting date the Company assesses whether there is any indication of impairment. If such indication exists, the recoverable amount of the asset is determined which is the higher of its fair value less costs to sell and its value in use. An impairment loss is recognised where the carrying amount exceeds the recoverable amount. |
| Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated useful lives, using the straight-line method. |
| The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date. Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in profit or loss. |
Operating leases (lessee) |
| Leases are classified as operating leases where substantially all the risks and rewards of ownership remain with the lessor. Rentals payable under operating leases are charged to profit or loss on a straight-line basis over the lease term, unless another systematic basis is more representative of the pattern of the company's benefit from use of the leased asset. Benefits received as lease incentives, such as rent-free periods, are recognised in profit or loss as a reduction in the rental expense on a straight-line basis over the lease term. |

2. | ACCOUNTING POLICIES - continued |
Financial instruments |
| The Company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors and creditors, loans from and to related parties and investments in ordinary shares. |
| Debt instruments (other than those wholly repayable or receivable within one year), including loans and other accounts receivable and payable, are initially measured at present value of the future cash flows and subsequently at amortised cost using the effective interest method. Debt instruments that are payable or receivable within one year, typically trade debtors and creditors, are measured, initially and subsequently, at the undiscounted amount of the cash or other consideration expected to be paid or received. However, if the arrangements of a short-term instrument constitute a financing transaction, like the payment of a trade debt deferred beyond normal business terms or in case of an out-right short-term loan that is not at market rate, the financial asset or liability is measured, initially at the present value of future cash flows discounted at a market rate of interest for a similar debt instrument and subsequently at amortised cost, unless it qualifies as a public benefit entity concessionary loan. |
| Financial assets that are measured at cost and amortised cost are assessed at the end of each reporting period for objective evidence of impairment. If objective evidence of impairment is found, an impairment loss is recognised in the Statement of comprehensive income. |
| For financial assets measured at amortised cost, the impairment loss is measured as the difference between an asset's carrying amount and the present value of estimated cash flows discounted at the asset's original effective interest rate. If a financial asset has a variable interest rate, the discount rate for measuring any impairment loss is the current effective interest rate determined under the contract. |
| For financial assets measured at cost less impairment, the impairment loss is measured as the difference between an asset's carrying amount and best estimate of the recoverable amount, which is an approximation of the amount that the Company would receive for the asset if it were to be sold at the balance sheet date. |
| Financial assets and liabilities are offset and the net amount reported in the Balance sheet when there is an enforceable right to set off the recognised amounts and there is an intention to settle on a net basis or to realise the asset and settle the liability simultaneously. |
| Bad debts of £255,276 have been recognised during the year (2024 - £41,926). |
Taxation |
| Taxation for the year comprises current and deferred tax. Tax is recognised in the Income Statement, except to the extent that it relates to items recognised in other comprehensive income or directly in equity. |
| Current or deferred taxation assets and liabilities are not discounted. |
| Current tax is recognised at the amount of tax payable using the tax rates and laws that have been enacted or substantively enacted by the balance sheet date. |
Go1 UK Learning Limited (Registered number: 11867333) |
Notes to the Financial Statements - continued |
for the Year Ended 30 June 2025 |
2. | ACCOUNTING POLICIES - continued |
Deferred tax |
| Deferred tax is recognised in respect of all timing differences that have originated but not reversed at the balance sheet date. |
| Timing differences arise from the inclusion of income and expenses in tax assessments in periods different from those in which they are recognised in financial statements. Deferred tax is measured using tax rates and laws that have been enacted or substantively enacted by the year end and that are expected to apply to the reversal of the timing difference. |
| Unrelieved tax losses and other deferred tax assets are recognised only to the extent that it is probable that they will be recovered against the reversal of deferred tax liabilities or other future taxable profits. |
| The company has unused tax losses of £4,875,771 at the year end (2024 - £6,010,499). |
Research and development |
| Research and development expenditure is charged to profit or loss as incurred. |
Foreign currencies |
| Transactions and balances |
| Foreign currency transactions are translated into the functional currency using the spot exchange rates at the dates of the transactions. |
| At each period end foreign currency monetary items are translated using the closing rate. Nonmonetary items measured at historical cost are translated using the exchange rate at the date of the transaction and non-monetary items measured at fair value are measured using the exchange rate when fair value was determined. |
| Foreign exchange gains and losses resulting from the settlement of transactions and from the translation at period-end exchange rates of monetary assets and liabilities denominated in foreign currencies are recognised in profit or loss except when deferred in other comprehensive income as qualifying cash flow hedges. |
| Foreign exchange gains and losses that relate to borrowings and cash and cash equivalents are presented in the Statement of comprehensive income within 'finance income or costs'. All other foreign exchange gains and losses are presented in profit or loss within 'other operating income'. |
Pensions |
| Defined contribution pension plan |
| The Company operates a defined contribution pension plan for its employees. A defined contribution plan is a pension plan under which the Company pays fixed contributions into a separate entity. Once the contributions have been paid the Company has no further payment obligations. |
| The contributions are recognised as an expense in profit or loss when they fall due. Amounts not paid are shown in accruals as a liability in the Balance sheet. The assets of the plan are held separately from the Company in independently administered funds. |

The company has net current liabilities of £4,548,913 (2024: £5,656,055) and total net liabilities of £4,548,913 (2024: £5,623,508) at the balance sheet date. The company is dependent on the ongoing financial support of its ultimate parent entity, Go1 Global Inc, to continue to meet its financial obligations as and when they fall due. |
Go1 Global Inc, is a US-incorporated entity with a successful track record of raising sufficient equity to loan the company sufficient funds for the purposes of meeting its financial obligations. The company has received a letter of support from Go1 Global Inc. that any amounts due to Go1 Global Inc, or the subsidiaries of Go1 Global Inc, will not be called upon within the next 12 months for repayment, or until such time as the company is in a financial position to be able to repay any amounts due in the normal course of business. Additionally, Go1 Global Inc, has confirmed that it will continue to provide an appropriate level of financial support to the company to ensure it remains able to meet its financial liabilities and obligations as they fall due for at least 12 months from the date of signing of these financial statements. On this basis, the directors consider it appropriate to prepare these financial statements on the going concern basis. |
Commission costs |
Sales commissions payable to employees and to distribution partners for obtaining or renewing customer contracts are recognised in profit or loss as an expense when they are incurred. Commissions earned but not paid at the reporting date are included within accruals. |
Share-based payments |
Where share options are awarded to employees, the fair value of the options at the date of grant is charged to profit or loss over the vesting period. Non-market vesting conditions are taken into account by adjusting the number of equity instruments expected to vest at each balance sheet date so that, ultimately, the cumulative amount recognised over the vesting period is based on the number of options that eventually vest. Market vesting conditions are factored into the fair value of the options granted. The cumulative expense is not adjusted for failure to achieve a market vesting condition. |
The fair value of the award also takes into account non-vesting conditions. These are either factors beyond the control of either party (such as a target based on an index) or factors which are within the control of one or other of the parties (such as the Company keeping the scheme open or the employee maintaining any contributions required by the scheme). |
Where the terms and conditions of options are modified before they vest, the increase in the fair value of the options, measured immediately before and after the modification, is also charged to profit or loss over the remaining vesting period. |
Where equity instruments are granted to persons other than employees, profit or loss is charged with fair value of goods and services received. |
Deferred Income |
Amounts invoiced to customers in advance of the provision of services are included within accruals and deferred income in creditors, and are released to turnover as the services are provided. For subscription arrangements, the income is released evenly over the subscription term. Services provided but not yet invoiced at the reporting date are included in prepayments and accrued income. |

Debtors |
Short-term debtors are measured at transaction price, less any impairment. Loans receivable are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method, less any impairment. |
Impairment |
Trade and other debtors are assessed for objective evidence of impairment at each reporting date. Debtors that are individually significant are assessed individually; other debtors are assessed collectively in groups with similar credit risk characteristics, by reference to their ageing and the company's historical loss experience. An impairment loss is recognised in profit or loss, measured as the difference between the carrying amount and the best estimate of the amount recoverable. If the amount of the impairment loss subsequently decreases as a result of an event occurring after the impairment was recognised, the reversal is recognised in profit or loss. Debtors are written off when there is no reasonable expectation of recovery. |
Cash and cash equivalents |
Cash is represented by cash in hand and deposits with financial institutions repayable without penalty on notice of not more than 24 hours. Cash equivalents are highly liquid investments that mature in no more than three months from the date of acquisition and that are readily convertible to known amounts of cash with insignificant risk of change in value. |
Creditors |
Short-term creditors are measured at the transaction price. Other financial liabilities, including bank loans, are measured initially at fair value, net of transaction costs, and are measured subsequently at amortised cost using the effective interest method. |

8. | PRIOR YEAR ADJUSTMENT |

| Correction of error - accrued income |
| A journal posted in the year ended 30 June 2024 duplicated the reversal of an adjustment that had already been reversed. As a result, turnover for that year and accrued income at 30 June 2024 were both overstated by £197,875. The comparative figures have been restated. There was no effect on balances at 1 July 2023. |
