NOTES TO THE FINANCIAL STATEMENTS
For the financial year ended 31 October 2026
1. General information
River World Limited is a private company limited by shares, incorporated in England and Wales on 12 October 2021. Its company registration number is 13673167 and its registered office is 128 City Road, London, EC1V 2NX. These financial statements relate to the individual company.
2. Accounting policies
2.1 Basis of preparation
The accounting period commenced on 1 November 2025. The 2024 periodic-review amendments to FRS 102 have not been early adopted. The comparative figures for the year ended 31 October 2025 are restated as explained in note 17.
2.2 Group accounts and going concern
These are the individual accounts of the parent company. The company takes the small-parent exemption from preparing consolidated accounts under section 399 of the Companies Act 2006. Its subsidiary is included as an investment at cost less impairment.
The accounts are prepared on a going concern basis, taking account of cash resources, funding and the planned development of the business.
Judgements and estimation
The principal judgements concern the substance and completion of commercial service contracts, classification of capital contributions and recoverability of investments. Estimates include useful lives and residual values of tangible assets. The company considers the enforceable rights of use and recoverable value of its store improvements in applying those estimates.
Revenue and capital expenditure
Revenue from services delivered to developers is accounted for separately from expenditure on the company's own first-store improvements. The latter is included within tangible fixed assets and is not also charged to cost of sales.
River World Limited
NOTES TO THE FINANCIAL STATEMENTS
Accounting policies (continued)
2.3 Turnover
Turnover represents consideration for commercial project management, procurement, design and site coordination services, excluding value added tax where applicable. Service revenue is recognised by reference to the stage of completion when the outcome can be estimated reliably. The four contracts reported in note 3 were completed and accepted by 25 October 2026.
2.4 Tangible fixed assets
Asset class | Useful life | Residual value |
|
|
|

Furniture and network equipment | ||
Store improvements |
Depreciation is calculated on a straight-line basis over the depreciable amount. Useful lives, residual values and impairment indicators are reviewed at each reporting date. The new store improvements are expected to be available for intended use in March 2027; no depreciation has been charged on them in 2026.
2.5
2.6 Taxation
2.7 Leases, deposits and cash
Operating lease rentals are charged over the lease term on a systematic basis. Refundable lease deposits are included within debtors; amounts due after more than one year are separately identified. Cash at bank and bank deposits are included at their recorded balances.
2.8
Non-repayable contributions classified as equity are credited directly to the capital contribution reserve and excluded from turnover.

The tax amounts reflect the revised computation supplied by the reporting accountants dated 3 November 2026, reference APX/RWL/RES-2026/04. The computation uses brought-forward trading losses of £412,626.78 and group relief of £799,437.85 from Mirai Ventures Limited. The supplied memorandum confirms the availability of eligible losses and approval of the surrender consent.
No Annual Investment Allowance or writing-down allowances are claimed for the current year under that computation. Qualifying expenditure is retained for future deductions available under the applicable capital allowance rules; this does not represent a carry-forward of an unused AIA entitlement.
Deferred tax
The supplied assessment reports no deferred tax charge or balance. For the new store improvements, the carrying amount and remaining tax value are each £1,405,305.20: no depreciation or capital allowances have been recognised for this asset in the current year. There is therefore no timing difference on the new improvements under the supplied tax basis.
The nil deferred tax amount is the figure provided by the reporting accountants for these financial statements. Recognition of tax assets remains subject to the accounting policy in note 2.6.
