Notes to the Financial Statements

  • 1. Accounting policies

    Basis of measurement and preparation

These financial statements have been prepared in accordance with the provisions of Section 1A (Small Entities) of Financial Reporting Standard 102

    Valuation information and policy

Investments in subsidiaries are stated at cost less impairment. Returns of capital from a subsidiary are deducted from cost.

    Other accounting policies

Basis of preparation: The accounts have been prepared under the historical cost convention. Going concern: The company's only subsidiary entered liquidation on 2 April 2025, and the directors intend to apply for the company to be struck off once that liquidation is complete. The accounts have therefore been prepared on a basis other than going concern. No adjustments were needed, because all assets are stated at their recoverable amount and all liabilities fall due within one year. Currency: The accounts are presented in pounds sterling, the company's functional currency. Transactions in other currencies are recorded at the rate on the date of the transaction. Monetary assets and liabilities in other currencies are translated at the rate on the balance sheet date, and exchange differences are taken to profit and loss. Share issue costs: Costs directly attributable to issuing shares are deducted from the share premium account. In the year, fees of £20,436 for the 2022 share issue, not previously recorded, were deducted from share premium. Taxation: Current tax is provided at the amount expected to be paid, using the rates and laws in force at the balance sheet date. Events after the reporting date: On 10 October 2025 the company passed a special resolution, supported by a directors' solvency statement, to reduce its share premium account by £630,677.50 (£2.049703925 per Pre-Seed share). The reduction was registered at Companies House in October 2025, and £630,677.50 was returned to Target Global Early Stage Fund III LP on 16 and 17 October 2025. Legal costs of £7,800 for the reduction were paid in December 2025. On 19 November 2025 the subsidiary paid a further €5,000 to the company.

6. Financial Commitments

Contingent liabilities: €12,500 of the subsidiary's share capital has not been called. It could be called if the subsidiary needed it to pay its creditors; the directors consider this unlikely, as the subsidiary's assets exceed its liabilities. The €5,000 the subsidiary paid the company on 19 November 2025, during its liquidation, may have to be repaid to it.
