1Accounting policies
Basis of preparation. The accounts have been prepared under the historical cost convention and in accordance with FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland, as applied to small entities by Section 1A, and the Companies Act 2006. The accounts are presented in pounds sterling, rounded to the nearest pound.
Basis of consolidation. The consolidated accounts include the company and its subsidiary undertakings, Fooderus Group Holdings Ltd and Academies Incubator Ltd. The subsidiaries came under the control of the company through the transfer of their shares from the company's shareholders for no consideration. As the ultimate owners are the same before and after the transfer, this is a group reconstruction and merger accounting has been applied in accordance with FRS 102 paragraphs 19.27 to 19.33. The results and net assets of the subsidiaries are included as if they had always formed part of the group, comparative figures are presented on the same basis, and no goodwill arises. The nominal value of the subsidiaries' share capital is presented as a merger reserve. Intra-group balances and transactions are eliminated on consolidation.
Subsidiary reporting date. Fooderus Group Holdings Ltd has a financial year ending on 31 March. Turnover. Turnover represents the fair value of consideration received or receivable for education, training, agency and management services provided, net of value added tax. It is recognised when the service is provided.
Tangible fixed assets. Tangible fixed assets are measured at cost less accumulated depreciation and impairment losses.
Investments. In the company balance sheet, investments in subsidiaries are measured at cost, which is nil as the shares were acquired for no consideration.
Financial instruments. Basic financial instruments, including amounts owed by directors and between group companies, are measured at transaction price less any impairment.
