Basis of preparation of financial statements
|
The financial statements have been prepared under the historical cost convention unless otherwise specified within these accounting policies and in accordance with Financial Reporting Standard 102, the Financial Reporting Standard applicable in the UK and the Republic of Ireland and the Companies Act 2006. The disclosure requirements of Section 1A of FRS 102 have been applied other than where additional disclosure is required to show a true and fair view.
The Company was established as a special purpose vehicle to facilitate acquisitions on behalf of the wider group. During the year, the Company completed the acquisition certain assets from a business and immediately transferred the acquired assets to its parent company as part of the group’s investment strategy.
Following completion of these transactions, the Company expected to remain largely dormant in the short term. However, the directors expect the Company to remain within the group structure, and it may be utilised in connection with future acquisition opportunities.
Having considered the Company's financial position, the directors have a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future.
Accordingly, the directors continue to adopt the going concern basis in preparing the financial statements.
Intangible assets acquired as part of an acquisition are initially recognised at cost.
The Company operates as a special purpose vehicle established to facilitate acquisitions on behalf of the wider group. Intangible assets acquired are intended to be transferred to other group undertakings shortly after acquisition and are not held for ongoing use by the Company.
Accordingly, where intangible assets are transferred to another group undertaking prior to being brought into use by the Company, no amortisation charge is recognised. Intangible assets are derecognised upon transfer to the acquiring group undertaking, with any resulting gain or loss recognised in profit or loss.
Tangible assets acquired as part of an acquisition are initially recognised at cost.
The Company does not utilise acquired tangible assets within its own operations. Such assets are acquired solely as part of the Company's role as an acquisition vehicle and are intended to be transferred to other group undertakings shortly after acquisition.
Where assets are transferred before being brought into operational use by the Company, no depreciation is charged. Tangible assets are derecognised upon transfer to the relevant group undertaking.
