THE WHARTON TRUST

TRUSTEES' REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025
The trustees present their annual report and financial statements for the year ended 31 December 2025.
Trustees' report and financial statements
The trustees, who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 December 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).
Objectives and activities
The charity's objects, as set out in its Memorandum of Association, are the relief of poverty, sickness and the advancement of education and the promotion of any other charitable purpose for the benefit of the inhabitants of Dyke House and Jackson wards of Hartlepool. The charity pursues these objects through the community services run from The Annexe, described under Achievements and performance.
The trustees have had regard to the Charity Commission's guidance on public benefit when reviewing the charity's aims and objectives and in planning its activities.
Achievements and performance
It has been a difficult year for the charity, but despite all the challenges The Annexe has faced, our fantastic staff and volunteers have kept projects operating and the centre continues to be an integral part of the local community.
The charity provided significant public value and some of the key benefits were:
The Big Local Partnership - Dyke House Big Local Plan
A resident-led programme which enables people locally to provide recommendations about how their local area can be improved. The Big Local resident forum meets regularly to discuss areas of improvement with our team, who then represent the community on a local level with government bodies. We are the voice of the community.
Other activities include Minds for Men, Wellness for Women, Wednesday Ladies Club and Street Food.
The Annexe - Centre for Warmth funded by Northern Gas Networks
Delivery of Centre for Warmth services by utilising our centre facilities and expanding offerings directly to the local community facing the impact of low income, poor health, food and fuel poverty and illiteracy. In house services at The Annexe include:
Breakfast clubs. The centre offers a men's and women's drop in breakfast club where individuals can enjoy a hot breakfast and drink while receiving advice on carbon monoxide safety, energy efficiency and other support services.
Income maximisation and benefits advice. The centre offers assistance with benefit applications and debt management, helping people increase their income and access available support. The service has been well attended and the partnership advice provided by Advice@Hart has been invaluable.
PSR registration. Raising awareness of Priority Services, a programme designed to provide extra support to vulnerable households, helping clients sign up and offering continued guidance on energy and utility services.
Cheap as Chips 'Cooking on a budget' workshops. Building on our Family Club, we help individuals build cooking skills and foster relationships by cooking meals which are cheap, using low cost ingredients and energy efficient methods. We have supplied numerous slow cookers and air fryers to local residents to help with more energy efficient ways to cook.
The Big Switch. From the IT suite we assist people to go online and use comparison websites such as U-Switch to see if they can get a better tariff for their utilities.
Be More Active
We encourage local residents to become more physically active because we see the real and lasting impact that inactivity has on people's health and wellbeing. That is why we run our Be More Active campaign, from walking groups to running, to make being active easier, more social and part of everyday life. Regular movement not only improves physical health but also boosts confidence, reduces isolation and can help people take steps toward employment.
Holiday Activities
The school holiday activity programmes are aimed at school age young people. Each young person is offered a healthy meal and snack, and activities include sports, general youth club, and arts and crafts. We also organise day trips to local tourist spots such as Flamingo Land.
The Youthy
Our youth provision offers a simple promise to young people: you will always find a safe, welcoming space where you are listened to, believed in, and challenged to grow. We run open access sessions from the dedicated youth team in The Annexe and take part in detached street work to meet young people where they are. Alongside the fun, we focus on life skills such as confidence, communication, wellbeing and practical support around education, training and employment.
FareShare
We are a member of FareShare. For a small annual fee we obtain good quality food which we can offer to residents on low income.
We wish to thank our funders for their generous support during the year: Big Local Trust, Northern Gas Networks, Tudor Trust, The Ballinger Charitable Trust, Joseph Rowntree Foundation, Hartlepool Borough Council and Thirteen Group.
Financial review
The Statement of Financial Activities shows net income for the year of £58,873 (2024: £95,237) and total funds at the year end of £1,190,784 (2024: £1,131,911). The 2024 fund balances have been restated between restricted and unrestricted funds as explained in the notes to the financial statements.
Unrestricted funds at the year end were £992,225 (2024 restated: £956,207), of which £922,672 is a designated fund representing the carrying value of the properties held by the charity. Free reserves, being unrestricted funds not represented by property and other fixed assets, were £23,640 (2024 restated: £8,899). Restricted funds were £198,559 (2024 restated: £175,704).
Reserves policy and risk management
The charity over the last two years has encountered financial difficulties resulting from poor financial judgement, which has exposed the charity's reserves, which currently stand at an all time low. As a result the charity has sought local support and consulted various agencies for advice. We have also increased the board membership, drawing on various areas of expertise to assist with the governance and growth of the organisation.
Following the year end, matters relating to the Trust became the subject of an ongoing police investigation. The Charity Commission is also involved. The investigation remains ongoing at the date of approval of this report.
The Council of Management recognise that we need to work towards building an unrestricted reserve of at least three months' running costs, a redundancy reserve and a property resilience fund.
The Council of Management have assessed the major risks to which the charity is exposed, in particular those related to the operations and finances of the charity, and are satisfied that systems are in place to mitigate exposure to the major risks. Trustees are actively seeking new sources of funding to continue future activities.
Structure, governance and management
The Wharton Trust is a charitable company limited by guarantee (company number 03296566), incorporated on 27 December 1996 and registered with the Charity Commission for England and Wales (charity number 1059956). It is governed by its Memorandum and Articles of Association. Each member's liability is limited to £1 if the charity is wound up.
The trustees are the members of the Council of Management and are also directors for the purposes of company law. New trustees are appointed in accordance with the Articles of Association. During 2026 the trustees strengthened the board with new appointments to support the governance of the charity.
Trustees
The trustees, who are also the directors for the purpose of company law, and who served during the year and up to the date of signature of the financial statements were:
  • A Leighton (Chair)
  • A Callaghan
  • J Pullman (resigned 9 June 2026)
  • T D Sherwood (resigned 24 December 2025)
  • J Todd (appointed 7 January 2026)
  • J Auton (appointed 14 July 2026, resigned 15 October 2026)
  • J M Black (appointed 14 July 2026)
  • M Craig (appointed 14 July 2026, resigned 14 October 2026)
Trustees' responsibilities statement
The trustees, who are also the directors of The Wharton Trust for the purpose of company law, are responsible for preparing the Trustees' Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
Company Law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that year.
In preparing these financial statements, the trustees are required to:
  • select suitable accounting policies and then apply them consistently;
  • observe the methods and principles in the Charities SORP;
  • make judgements and estimates that are reasonable and prudent;
  • state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
  • prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

THE WHARTON TRUST

INDEPENDENT EXAMINER'S REPORT
FOR THE YEAR ENDED 31 DECEMBER 2025
Independent examiner's report to the trustees of The Wharton Trust
I report to the trustees on my examination of the financial statements of The Wharton Trust ('the charity') for the year ended 31 December 2025.
Responsibilities and basis of report
As the trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').
Having satisfied myself that the financial statements of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of the charity's financial statements carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act.
Independent examiner's statement
Since the charity's gross income exceeded £250,000, your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Chartered Institute of Management Accountants, which is one of the listed bodies.
I have completed my examination. I have identified the following matters of concern which give me reasonable cause to believe that, in some material respect:
  1. accounting records were not kept in respect of the charity as required by section 386 of the 2006 Act. Adequate accounting records were not maintained during the year and the records were reconstructed after the year end; and
  2. the financial statements have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). Investment properties of £534,014 are included at historical cost rather than at fair value as required by section 16 of FRS 102. The trustees have not quantified the effect on the financial statements.
I confirm that no other matters have come to my attention in connection with my examination giving me cause to believe that in any material respect:
  1. the financial statements do not accord with those records; or
  2. the financial statements do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair' view which is not a matter considered as part of an independent examination.
I have come across other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the financial statements to be reached. Attention is drawn to the following:
  • Other expenditure includes £42,450 of building costs paid in 2025 which, on information received by the trustees in 2026, were not incurred on property belonging to the charity. The amount had been treated as an addition to investment property and has been written off. The trustees have reported the matter to the Charity Commission and to the police, whose enquiry is continuing, and are pursuing recovery; nothing has been recognised for any recovery.
  • The related parties note discloses advances of £35,000 made in 2024 to a company of which a trustee was then a director, of which £15,000 was repaid in 2024 and the remaining £20,000 was written off as irrecoverable in the year.
  • The 2024 comparative fund balances have been restated to correct the allocation of restricted fund expenditure, including a grant from The National Lottery Community Fund that was previously described as a Locality grant. Total funds at 31 December 2024 are unchanged.
  • The post balance sheet events and contingent liabilities notes disclose an employment tribunal claim made against the charity in January 2026 and the possibility that grant funders may seek repayment.
  • Note 1.2 discloses a material uncertainty relating to the charity's ability to continue as a going concern. Since the year end the trustees have taken professional advice on the future of the charity and no decision has been taken.

THE WHARTON TRUST

NOTES TO THE FINANCIAL STATEMENTS
FOR THE YEAR ENDED 31 DECEMBER 2025

1. Accounting Policies

1.1 Basis of preparation

The Wharton Trust is a charitable company limited by guarantee registered with the Charity Commission for England and Wales. The registered office is The Annexe, Wharton Terrace, Hartlepool, TS24 8NS. The principal accounting policies adopted by the charity, which is a public benefit entity, in the preparation of the accounts are as follows.
These accounts have been prepared under the historical cost convention, in accordance with “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (effective 1 January 2019) (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), the Companies Act 2006 and the Charities Act 2011.
The accounts are presented in pounds sterling and rounded to the nearest pound.

1.2 Going concern

Since the year end the trustees have taken professional advice on the future of the charity, including the option of transferring its activities and assets to another charity with similar objects. No decision has been taken. These circumstances indicate a material uncertainty which may cast significant doubt on the charity's ability to continue as a going concern. The trustees consider it appropriate to prepare the accounts on a going concern basis. The accounts do not include any adjustments that would result if the charity were unable to continue as a going concern.

1.3 Material prior year errors

The comparative figures for the year ended 31 December 2024 have been restated to correct the allocation of restricted fund expenditure. The restricted fund previously described as Locality Community Organisers is the Community Organisations Cost of Living Fund from The National Lottery Community Fund. Expenditure of £42,854 previously charged to other restricted funds has been reallocated to this fund and £8,200 of room hire forgone has been transferred to the general fund. The £14,223 transferred from the general fund in 2024 to cover part of that expenditure is no longer required and has been reversed. Restricted funds at 31 December 2024 are reduced from £198,127 to £175,704 and unrestricted general funds increased from £39,080 to £61,503. The restatement does not affect net income or total funds for 2024.

1.4 Income from donations or grants

Income from donations and grants is recognised when the charity is entitled to the funds, the receipt is probable and the amount can be measured reliably. For donations, this is usually on receipt. For grants, this is usually when a formal offer is made in writing. If a donation or grant contains terms and conditions outside of the charity’s control which must be met before the charity is entitled to the funds, or if the donor specifies that the funds must be used in future time periods, then the income is deferred.

1.5 Income from charitable activities

Income from charitable activities, including rental income from the charity's properties and room hire, is recognised over the period to which the income relates. Any amounts relating to future periods are deferred.

1.6 Expenditure

Expenditure is recognised when a present legal or constructive obligation exists at the balance sheet date as a result of a past event, it is probable that a transfer of economic benefits will be required to settle the obligation, and the amount can be estimated reliably. It is inclusive of VAT which cannot be recovered.
Direct costs are those costs which directly attribute to its activities. Wages and salaries are allocated to direct costs based on an estimate of time spent on charitable activities by staff members.
Support costs include staff costs and are those which do not produce a direct output. Staff costs relate to specific activities and this is reflected in the allocation of payroll costs based on the percentage of time spent.
All costs, including governance costs, are allocated between the expenditure categories of the charity on a basis designed to reflect the use of the resource. Costs relating to a particular activity are charged directly; others are apportioned on an appropriate basis.

Support costs and overheads have been calculated by allocating staff time to the level of involvement in the various activities of the charity.

1.7 Pensions

The charity makes contributions to defined contribution pension schemes through auto enrolment. These contributions are charged to the Statement of Financial Activities in the year in which they become payable.

1.8 Creditors

Creditors are measured at settlement amounts less any trade discounts.

1.9 Fund accounting

Unrestricted funds are those funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the charity for particular purposes.

1.10 Tangible fixed assets

Tangible fixed assets, such as land and buildings, plant, vehicles and equipment, are held to provide an on-going economic benefit to the charity through their contribution, directly or indirectly, to the provision of goods or services by the charity.
Tangible fixed assets, other than freehold land, are stated at cost or valuation less depreciation and any provision for impairment. Depreciation is provided at rates calculated to write off the cost or valuation of fixed assets, less their estimated residual value, over their expected useful lives on the following basis:
Name Rate (%) Year Method
Freehold property 2
Straight line
Plant and machinery 10
Straight line
Fixtures and fittings 25
Straight line

1.11 Investment properties

Investment properties are properties held to earn rentals and/or for capital appreciation.
Investment properties are included at historical cost, being the purchase price plus costs of acquisition and subsequent improvements. They have not been revalued to fair value and are not depreciated. The trustees intend to review the fair value of the properties during 2026.

1.12 Debtors

Debtors (including trade debtors and loans receivable) are measured on initial recognition at settlement amount after any trade discounts or amount advanced by the charity. Subsequently, they are measured at the cash or other consideration expected to be received.

14. Events after the end of the reporting period

This year Last year
Please provide details of the nature of the event In October 2025 the trustees began an investigation into certain transactions of the charity. A member of the Senior Leadership Team was suspended and resigned in January 2026. The trustees reported the matter to the Charity Commission (serious incident report) and to the police, and the police enquiry is continuing. In 2026 the trustees received information that building costs of approximately £60,000 paid by the charity in 2024 and 2025 had not been incurred on property belonging to the charity. The 2024 costs of £14,383 were charged to expenditure in that year; of the 2025 costs, £42,450 had been treated as an addition to investment property and has been written off in these accounts (note 6). An employment tribunal claim was lodged against the charity on 15 January 2026 by a former trustee on behalf of an individual. These are non-adjusting events except for the write-off of the £42,450.
Provide an estimate of the financial effect of the event or a statement that such an estimate cannot be made The financial effect of the employment tribunal claim cannot be estimated. No legal costs had been incurred at 31 December 2025. The trustees are pursuing recovery of the building costs through the police and the charity's insurers; nothing has been recognised for any recovery.
