Property lease arrangements with directors

The company occupies premises under a sublease granted by the directors. The directors hold the head lease of the property from an unconnected third-party freeholder.

The rental payments made by the company to the directors are equivalent to the rental payments made by the directors to the freeholder. Accordingly, the directors do not make any profit or loss from the rental arrangements.

The company has capitalized its interest in the leasehold property and recognised a corresponding lease liability in accordance with FRS 102.

The opening lease liability was £294,616, with repayments of £39,900 and finance charges of £54,098 in the period. The lease liability as at 31 May 2026 was £308,814. This amount is included within the creditor amounts for hire purchase contracts and finance leases.

The finance charge represents the accounting interest arising on the recognised lease liability and does not represent an additional interest charge payable to the directors.

The finance charge in the initial period exceeded the rental payments made, resulting in an increase in the carrying value of the lease liability. This is expected to reverse in subsequent periods as rental payments reduce the outstanding liability over the remaining lease term.

The outstanding liability is repayable through future rental payments in accordance with the terms of the sublease.
