| The Ethnic Minority Centre (Ltd) is based in Vestry Hall since 1980. It was registered with Charity Commission and Companies House in 1988. |

| In last 37 years the EMC is dynamic advancing to need of the time, also ready to face any challenges. It is a team work, hence I would like to thank and express our gratitude to each and every one at the EMC including our service users, the staff at the Vestry Hall and our well-wishers and friends in London Borough of Merton, NHSWLondon, Clarion Future, Wimbledon Community Foundation, Merton Connected, Health Watch, Social Prescribe, Vestry Hall, Mitcham Library, London Borough of Merton are just a few to mention. The auditors The Owadally & King Partnership will continue in accordance with the Companies Act. |
| Vice-Chair: Gene Bovell as a trustee of the EMC, I am proud to present our continuous achievements throughout this year. Since 1988, the EMC has gowned and earned continuous popularity. Our aims to bring communities together, build community cohesion, and improve the quality of life for BAME communities within the London Borough of Merton and neighbouring areas. This year, we have continued to uphold these principles, creating a welcoming environment that truly feels like a second home for our members and service users. I am glad that we have developed new projects, funded by Wimbledon Community Foundation for educational and for key Salary for our current project director for managing this 2 years project, LBM Sports funding and ICB NHS. I am happy to announce that our project director's designation is now managing Director. |
| Treasurer: Manjula Jude Ramash unable to continue this post due to unavoidable circumstances. Hence Roy Kumar will be the temporary Treasurer until the next AGM as this post should not remain vacant. |

| I am happy to give this report, The EMC has been active in the London Borough of Merton since 1988 and its aims and objectives have always been "to bring the communities together, build community cohesion and improve the quality of lives of the BAME communities living and working within the London Borough of Merton" and neighbouring boroughs. |
| I would like to thank and express our gratitude to everyone at the EMC, including Sabitri Ray who is tirelessly working and improving the EMC's activities and service user's needs. Our lovely service users, staff, the staff at Vestry Hall, volunteers, partners, funders, Well-wishers & friends in the London borough of Merton, NHS-SW London, Wimbledon Community foundation, Merton connected, Social Prescribe, Health Watch. The EMC is a safe environment for helping each other grow and building a better community within Merton, London, as global citizens. |

| I joined the Ethnic Minority Centre Ltd based in Vestry Hall Mitcham as a member in 2015, since them I have been working closely with the management team and volunteers, staff engaging in event activities and projects. |
| The EMC Ltd is a people's people community, it brings out the best in everyone who are engage in the services that EMC provides from swimming, craftwork, Maths, IT and English for beginners, exercise sessions, cycling dancing, garden parties, and trips to the sea-side. |
| The Covid19 Pandemic was a significant threat to the EMC community as most of the face-to-face activities had to ceased, and unfortunately some of its members no longer with us. |
| In 2022 EMC senior service manager sadly passed away, that created another down fall for EMC community. However, with all the downfall that did not stop EMC Ltd values and progress to rise, and reform a great team of volunteers, trustee and service users under the management of Mrs Sabitri Ray and her management team. To date there are 9 Trustees, 32 Volunteers, and over 3,000 service users, who happily supports and takes in various activities five days a week. |

| I am very proud to be one the nine Trustees at EMC Ltd, and I would like to give my honour of thanks to the following organisations that supports the rising of EMC. |
| London Borough of Merton, Clarion Future, Wimbledon Foundation, Merton Connected, Health Watch Merton, NHSW London, Social Prescribe and many others, without their support EMC could not be able to reach out to over 3,000 service users in the BAME community and others. |
| OBJECTIVES AND ACTIVITIES |
| Objectives and aims |
| The activities of the company are that of voluntary community work. This is an umbrella body for black minority ethnic organisations, whose aim is to improve the quality of life of Merton communities. |
| Trustees |
| The Trustees who served during the period and up to the date of this report are set out on page 5. |
| None of the trustees has any beneficial interest in the company. All the trustees are members of the company and guarantee to contribute £1 in the event of a winding up. |
| Trustess Responsibilities |
| Company law requires the trustees to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the Company and of the surplus or deficit of the Company for that period. In preparing those financial statements, the trustees are required to: |
| -select suitable accounting policies and then apply them consistently. |
| -make judgements and estimates that are reasonable and prudent; and |
| -prepare the financial statements on the going concern basis unless it is inappropriate to assume that the company will continue on that basis. |
| The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. |

| Achievements and performance |
| This year, EMC has witnessed tremendous teamwork and collaboration across all departments. Our dedicated staff, volunteers, and supporters have worked tirelessly to organically grow and enhance our programs. I would like to extend my heartfelt gratitude to everyone involved, including: |
| Sabitri Ray - who has worked tirelessly to enhance EMC's activities and respond to the evolving needs of our service users. |
| Service Users and Staff - for their dedication and contributions to the EMC's mission. |
| Vestry Hall Staff, NHS-SW London, Wimbledon Foundation, Merton Connected, and Wimbledon Guild - whose support has strengthened our ability to serve the Merton community effectively. |

| This year, we have not only provided a safe space for individuals but have actively contributed to building a stronger community. EMC continues to foster connections and provide services that support personal growth, mental well-being, and resilience within the BAME communities we serve. Through our partnerships with local organizations and community members, we have made meaningful strides in enhancing community well-being. |

| Financial review |
| EMC's reserve policy is in place to ensure the ongoing financial stability of the organisation setting aside monies for the long-term goals and ensuring that those funds will be available when needed. |
| This policy has been adopted to safeguard the assets of Ethnic Minority Centre Ltd. (EMC) so far as possible and to provide clear procedures for controlling the finances of the organisation. |
| STRUCTURE, GOVERNANCE AND MANAGEMENT |
| Governing document |
| The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. |
| Risk Statement |
| Trustees have conducted their own review of the major risks to which the charity is exposed and systems have been established to mitigate those risks. Internal risks are minimised by the implementation of procedures for authorisation of all transactions and projects and to ensure consistent quality of delivery for all operational aspects of the charitable company. These procedures are periodically reviewed to ensure that they still meet the needs of the charity. |

| I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2025. |
| Responsibilities and basis of report |
| As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). |
| Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. |

| I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: |
| 1. | accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or |
| 2. | the accounts do not accord with those records; or |
| 3. | the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or |

| Basis of preparing the financial statements |
| The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. |

| All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. |
| Expenditure |
| Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. |

| Taxation |
| The charity is exempt from corporation tax on its charitable activities. |
| Fund accounting |
| Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. |
